Option Acknowledgement Form definition

Option Acknowledgement Form means a waiver and acknowledgement, in the form approved by Buyer and the Company, providing that such option holder (i) accepts the consideration set forth in Section 2.6(h) in lieu of any other consideration that might be claimed by any such holder, (ii) unconditionally and irrevocably waives and releases any and all right or claim that such holder might have or assert in respect of such consideration, (iii) acknowledges that such holder’s Company Vested Options shall terminate upon and may not be exercised after the Closing Date, and (iv) approves the appointment of the Stockholders’ Representative and agrees to be bound by the indemnification obligations contained in this Agreement and the provisions set forth in Article X and the Escrow Agreement.
Option Acknowledgement Form has the meaning set forth in Section 2.6(b).
Option Acknowledgement Form means a waiver, in form attached hereto as Exhibit H, accepting the consideration provided by Subsection 2.6(e) in lieu of any other consideration that might be claimed by any such holder, unconditionally and irrevocably waiving and releasing all right or claim that such holder might have or assert in respect of such consideration, acknowledging that such holder’s Company Options shall terminate upon and may not be exercised after the Closing Date, and approving the appointment of the Shareholders’ Agent and agreeing to be bound by the indemnification obligations contained in this Agreement and the provisions set forth in Article 9 and the Escrow Agreement.

  • The Company shall deliver to the Option Holders the Option Acknowledgement Form and other applicable disclosures and notices.

  • Appendix to Tender means the appendix comprised in the form of Tender annexed to these Conditions.

  • Option Certificate means the certificate, substantially in the form set out as Schedule “A” hereto, evidencing an Option;

  • Notice of Exercise means a notice in writing addressed to the Company at its address first recited, which notice shall specify therein the number of Optioned Shares in respect of which the Option is being exercised;

  • Letter of Transmittal means the letter of transmittal to be prepared by the Company and sent to all Holders of the Notes for use by such Holders in connection with the Exchange Offer.

  • Subscription Receipt Agreement means the agreement to be dated the Closing Date by and among the Corporation, the Cornerstones and the Subscription Receipt Agent governing the terms and conditions of the Subscription Receipts, in a form to be agreed by the Corporation and the Cornerstones, acting reasonably;
