Option Properties definition

Option Properties is defined in Section 9.8.

Option Properties means the Seller Option Properties and the Grantor Option Properties.

Option Properties means the real property described on Exhibits A-10 through A-14, attached hereto and made a part hereof, and all other property of Seller as more particularly set forth in the Option Agreements.

• At any one time and from time to time, Mezzanine Borrower may cause Mortgage Borrower to allow Individual Properties (other than the Distribution Centers) to Go Dark provided that (i) the aggregate Allocated Loan Amount for all Individual Properties that Go Dark at any one time (excluding any Go Dark Purchase Option Properties) shall not exceed the Go Dark Limit and (ii) in no event may Mezzanine Borrower allow the Mortgage Borrower to allow any Go Dark Purchase Option Property to Go Dark.

• Accordingly, this document may be filed with the SEC and its contents and information relating to the Properties and the Option Properties will be disclosed to Purchaser's underwriters, the Securities and Exchange Commission and/or similar state authorities and to the public.

• The Partnership Parties shall be deemed to have agreed to indemnify the Rockpoint Preferred Holders under Section 7.03(a) of the Preferred Equity Investment Agreement with respect to the Option Properties Representations, and the Rockpoint Preferred Holders (and its Indemnified Parties) shall be permitted to recover for any Losses relating thereto as though the Option Properties Representations were made under the Preferred Equity Investment Agreement.

More Definitions of Option Properties

Option Properties means the Real Properties set forth in Part ----------------- II of Exhibit C attached hereto. Each of the Option Properties may be --------- separately referred to herein as an "Option Property".

Option Properties means such properties and improvements thereto which are the subject of those certain Call Right Agreements, by and between CEC and VICI Properties L.P., a Delaware limited partnership, entered into in connection with the consummation of the Plan.
