Order on Shares definition

Order on Shares when used in this Agreement, unless the context otherwise requires, shall mean a client’s Order to enter into a Transaction and/or Contract in respect to Shares supported by the relevant Exchange that we make available to you;

Examples of Order on Shares in a sentence

  • By using such Orders on Shares, you expressly acknowledge and agree that it is your responsibility to understand how an Order on Shares operates before you place any such order with us and that you will not place an Order on Shares unless you fully understand the terms and conditions attached to such order.

  • If we accept an Order on Shares and then an event takes place which means that it is no longer reasonable for us to act on that order, we will be entitled to cancel your order.

  • This mechanism is known asmetamodeling.Regarding products and product-types, this means that both are considered first-order entities.

  • If the DIP Facility is repaid from Vantage Shares, F3 Capital, per the Order on Shares, will only have an administrative claim on a “debtor by debtor basis” with “each debtor .

Related to Order on Shares

  • Additional Shares of Common Stock means all shares of Common Stock issued (or, pursuant to Subsection 4.4.3 below, deemed to be issued) by the Corporation after the Series B Original Issue Date, other than (1) the following shares of Common Stock and (2) shares of Common Stock deemed issued pursuant to the following Options and Convertible Securities (clauses (1) and (2), collectively, “Exempted Securities”):

  • Scheme Shares means the Target Shares which are subject to the Scheme in accordance with its terms.

  • Target Shares means common shares in the capital of Target, as currently constituted;

  • Pubco Shares means fully paid and non-assessable common shares of Pubco to be issued to the Selling Shareholders by Pubco upon Closing on the basis of 1 Pubco Share for 5.4935 Priveco Shares;

  • Sale Shares has the meaning ascribed to it at Recital (A).

  • Reference Shares means, in respect of the exercise of Conversion Rights by a Bondholder, the number of Shares (rounded down, if necessary, to the nearest whole number of Shares) determined in good faith by the Calculation Agent by dividing the aggregate principal amount of the Bonds being the subject of the relevant exercise of Conversion Rights by the Conversion Price in effect on the relevant Conversion Date, except that where the Conversion Date falls on or after the date an adjustment to the Conversion Price takes effect pursuant to Sections 5.4(a)(i), (ii), (iv), (v), (vi), (viii), (ix) or (x) in circumstances where the relevant Delivery Date falls on or prior to the record date or other due date for establishment of entitlement in respect of the relevant event giving rise to such adjustment, then the Conversion Price in respect of such exercise shall be such Conversion Price as would have been applicable to such exercise had no such adjustment been made.

  • Amalco Shares means common shares in the capital of Amalco;

  • Special Warrants means the special warrants issued by the Company, at a price of $0.10 per Special Warrant, pursuant to the Special Warrant Private Placement and entitling the holder thereof to acquire, for no additional consideration, one Common Share pursuant to the terms and conditions in the Special Warrant Certificates; and

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Class B Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Initial Warrants means the warrants of the Company to purchase shares of Common Stock underlying the Initial Units issued and outstanding prior to the IPO.

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Additional Ordinary Shares means Ordinary Shares issued by the Guarantor following the issuance of the Subscribed Ordinary Shares;

  • A Ordinary Shares means the A ordinary shares of £0.01 each in the capital of the Company;

  • Number of Option Shares means shares of Stock, as adjusted from time to time pursuant to Section 9.

  • Number of Shares As of any date, the product of (i) the Number of Options, (ii) the Conversion Rate and (iii) the Applicable Percentage.

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Acquired Shares has the meaning set forth in the Recitals.

  • Class B Warrants means the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to 5 years, in the form of Exhibit C attached hereto.
