The Company shall use best efforts to keep a registration statement (including the Registration Statement) registering the issuance or resale of the Ordinary Warrant Shares effective during the term of the Ordinary Warrants.
As of the date of this Agreement, the Company has reserved and the Company shall continue to reserve and keep available at all times, free of preemptive rights, a sufficient number of Ordinary Shares for the purpose of enabling the Company to issue the Shares pursuant to this Agreement and Ordinary Warrant Shares pursuant to any exercise of the Ordinary Warrants.
The Ordinary Warrant Shares are duly authorized and, when issued in accordance with the terms of the Ordinary Warrants against payment therefor as provided therein, will be validly issued, fully paid and non-assessable, free and clear of all Liens imposed by the Company.
The Company shall honor exercises of the Ordinary Warrants and shall deliver Ordinary Warrant Shares in accordance with the terms, conditions and time periods set forth in the Transaction Documents.
The Company hereby agrees to use commercially reasonable best efforts to maintain the listing or quotation of the Shares and Ordinary Warrant Shares on each Trading Market on which any Ordinary Shares are currently listed, and concurrently with the Closing, the Company shall apply to list or quote all of the Shares and Ordinary Warrant Shares on such Trading Markets and promptly secure the listing of all of the Shares and Ordinary Warrant Shares on such Trading Markets.
The Company further agrees, if the Company applies to have the Ordinary Shares traded on any other Trading Market, it will then include in such application all of the Shares and Ordinary Warrant Shares, and will take such other action as is necessary to cause all of the Shares and Ordinary Warrant Shares to be listed or quoted on such other Trading Market as promptly as possible.
If all or any portion of the Ordinary Warrants are exercised at a time when there is an effective registration statement to cover the issuance or resale of the Ordinary Warrant Shares or if the Ordinary Warrants are exercised via cashless exercise, the Ordinary Warrant Shares issued pursuant to any such exercise shall be issued free of all legends.
