Other Cash Award means a cash Award as described in Article 9.4 herein.

Other Cash Award means an Incentive Award granted by the Committee to a Grantee under Section 5.2 that is valued by reference to, or is otherwise based upon, cash.

Other Cash Award means a cash award granted to an Eligible Individual and designated by the Committee for deferral pursuant to this Plan which is not a Cash Incentive Award. Other Cash Awards are not earned during a Service Period prior to their deferral into this Plan. Other Cash Awards may include, but are not limited to, cash awards granted to non-employee directors pursuant to the Board Compensation Policy, or cash awards granted to newly-hired or newly-promoted employees outside of the Incentive Plan, which are designated by the Committee for deferral pursuant to this Plan.

Examples of Other Cash Award in a sentence

  • The Committee, at its discretion, may designate that a Restricted Stock, Stock Unit, Performance Share, Performance Unit, Incentive Bonus, Other Stock Award or Other Cash Award shall be granted as a Code Section 162(m) Award.

Related to Other Cash Award

  • Other Cash-Based Award means an Award granted pursuant to Section 10.3 of the Plan and payable in cash at such time or times and subject to such terms and conditions as determined by the Committee in its sole discretion.

  • Cash Award means an award denominated in cash.

  • Other Stock or Cash Based Award means a cash payment, cash bonus award, stock payment, stock bonus award, performance award or incentive award that is paid in cash, Shares or a combination of both, awarded under Section 9.1, which may include, without limitation, deferred stock, deferred stock units, performance awards, retainers, committee fees, and meeting-based fees.

  • Incentive Award means the right to receive a cash payment to the extent Performance Goals are achieved, and shall include “Annual Incentive Awards” as described in Section 10 and “Long-Term Incentive Awards” as described in Section 11.

  • Stock Bonus Award means an Award granted under Section 10 of this Plan.

  • Performance Award means any right granted under Section 6(d) of the Plan.

  • Other Stock-Based Award means any right granted under Section 6(f) of the Plan.

  • Full Value Award means an Award other than in the form of an ISO, NQSO, or SAR, and which is settled by the issuance of Shares.

  • Other Incentive Award means an Award denominated in, linked to or derived from Shares or value metrics related to Shares, granted pursuant to Section 9.6 hereof.

  • Performance Unit Award means an Award granted under Article XI of the Plan under which, upon the satisfaction of predetermined Performance Goals, a cash payment shall be made to the Holder, based on the number of Units awarded to the Holder.

  • Performance Units means an Award which may be earned in whole or in part upon attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.

  • Cash Performance Award means an Award that is denominated by a cash amount to an Eligible Person under Section 10 hereof and payable based on or conditioned upon the attainment of pre-established business and/or individual Performance Goals over a specified performance period.

  • 3(i) Award means an Award granted pursuant to Section 3(i) of the Ordinance to any person who is a Non- Employee.
