Other Companion Loan Pooling and Servicing Agreement definition

Other Companion Loan Pooling and Servicing Agreement means a pooling and servicing agreement relating to a Non-Serviced Companion Loan or a Serviced Companion Loan that creates a commercial mortgage securitization trust, as applicable. There are no Other Companion Loan Pooling and Servicing Agreements related to the Trust.

Other Companion Loan Pooling and Servicing Agreement means a pooling and servicing agreement relating to a Non-Serviced Companion Mortgage Loan or a Serviced Companion Mortgage Loan that creates a commercial mortgage securitization trust, as applicable.

Other Companion Loan Pooling and Servicing Agreement means the MSCI 2004-HQ4 Pooling and Servicing Agreement, the GMAC 2004-C3 Pooling and Servicing Agreement or the GCCFC 2004-GG1 Pooling and Servicing Agreement or any other pooling and servicing agreement relating to a Non-Serviced Companion Mortgage Loan or a Serviced Companion Mortgage Loan that creates a commercial mortgage securitization trust, as applicable.

• If the Special Servicer enters into a merger and the Special Servicer is the surviving entity under applicable law, the Special Servicer shall not, as a result of the merger, be required to provide a Rating Agency Communication, meet the requirements of Section 9.30(g), or obtain the consent of the Depositor or any depositor under an Other Companion Loan Pooling and Servicing Agreement.

• If any Serviced Companion Loan is deposited into an Other Securitization, each Certifying Servicer, to the extent applicable, shall provide (within the time periods provided for under the related Other Companion Loan Pooling and Servicing Agreement to permit such requesting party to comply with its reporting obligations thereunder), if requested by a party to the Other Companion Loan Pooling and Servicing Agreement, an Officer’s Certificate as set forth in this Section.

• This Officer’s Certificate should be addressed to the certificate administrator at its corporate trust office, as specified in the related Other Companion Loan Pooling and Servicing Agreement.

• The Master Servicer shall not be required to make a P&I Advance with respect to any P&I Pari Passu Loan after its receipt of notice from the related Other Master Servicer that it has determined that it has made a P&I Advance that is a Nonrecoverable Advance on the Non-Serviced Companion Loans or Serviced Companion Loans, as applicable, or that any proposed P&I Advance, if made, would constitute a Nonrecoverable Advance pursuant to the relevant Other Companion Loan Pooling and Servicing Agreement.

• The Master Servicer shall not make a P&I Advance with respect to any P&I Pari Passu Loan after its receipt of notice from the related Other Master Servicer that it has determined that it has made a P&I Advance that is a Nonrecoverable Advance on the Non-Serviced Companion Loans or Serviced Companion Loans, as applicable, or that any proposed P&I Advance, if made, would constitute a Nonrecoverable Advance pursuant to the relevant Other Companion Loan Pooling and Servicing Agreement.

More Definitions of Other Companion Loan Pooling and Servicing Agreement

Other Companion Loan Pooling and Servicing Agreement means a pooling and servicing agreement relating to a Non-Serviced Companion Loan or a Serviced Companion Loan that creates a commercial mortgage securitization trust, as applicable. The only Other Companion Loan Pooling and Servicing Agreement related to the Trust as of the Closing Date is the MSBAM 2013-C9 Pooling and Servicing Agreement. On or after the securitization of The Mall at Txxxxx Crossing Companion Loan, the pooling and servicing agreement entered into in connection with such securitization shall be an Other Companion Loan Pooling and Servicing Agreement related to the Trust.

On and after the Hilton San Francisco Financial District Companion Loan Securitization Date, the pooling and servicing agreement entered into in connection with the securitization of the Hilton San Francisco Financial District Companion Loan shall be an Other Companion Loan Pooling and Servicing Agreement.

Any pooling and servicing agreement entered into in connection with the securitization of the controlling portion of the State Farm Portfolio Non-Serviced Companion Loan or of the Marriott Philadelphia Downtown Non-Serviced Companion Loan shall be an Other Companion Loan Pooling and Servicing Agreement.

Other Companion Loan Pooling and Servicing Agreement means the 2003-IQ5 Pooling and Servicing Agreement or any pooling and servicing agreement relating to a Berkeley & Xxxxx Companion Loan, the RSA Companion Loan or a WestShore Plaza Companion Loan that creates a commercial mortgage securitization trust, as applicable.

Other Companion Loan Pooling and Servicing Agreement means the Greenwich 2003-C2 Pooling and Servicing Agreement, the LB-UBS 2004-C1 Pooling and Servicing Agreement or any other pooling and servicing agreement relating to a Non-Serviced Companion Mortgage Loan or a Serviced Companion Mortgage Loan that creates a commercial mortgage securitization trust, as applicable.
