Examples of Other SPAs in a sentence

  • The Company hereby represents and warrants that as of the date hereof, and covenants and agrees that after the date hereof, none of the Other SPAs includes terms, rights or other benefits that are more favorable, in any material respect, to an Other Investor than the terms, rights and benefits in favor of the Investor hereunder, unless, in any such case, the Investor has been offered in writing the opportunity to receive the benefits of all such more favorable terms, rights and benefits.

  • Upon a termination in accordance with this Section 6.17, the Company and the Investor shall not have any further obligation or liability (including arising from such termination) to the other, except with respect to a willful or intentional breach hereof prior to such termination, and the Investor will have no liability with respect to any Other Investor under the Other SPAs.
