Examples of Other SPAs in a sentence
This Agreement together with the Master Agreement and the Other SPAs constitutes the entire understanding between the Parties in relation to the subject matter hereof and replaces and extinguishes all prior agreements, undertakings, arrangements or understandings made by the Parties with respect to such subject matter.
As soon as reasonably practicable following the date hereof, the Parties shall cooperate to jointly prepare and cause to be filed with the SEC and to be disseminated (in accordance with Rule 13e-3(f)) a Rule 13e-3 transaction statement on Schedule 13E-3 in respect of the transactions contemplated hereby and by the Other SPAs (such Schedule 13E-3, as amended or supplemented from time to time, being referred to herein as the “Schedule 13E-3”).
In connection with the entry into the respective Other SPAs, PWM and each of the Other Purchasers and their respective Affiliates have entered into (or are entering into) a letter agreement (each an “Other Letter Agreement;” and the Other Letter Agreements and the Other SPAs are collectively referred to as the “Other Agreements”).
Contractor must inform System Agency immediately if Contractor becomes held in abeyance or barred from the award of a federal or state contract during the term of this Contract.
Concurrently with the execution of this Agreement, the Company is entering into the Other SPAs with the Other Purchasers (as defined below) for aggregate gross proceeds to the Company, including the investment by the Purchasers contemplated hereunder, of no less than $11, 500,000 (the “Minimum Round Amount”) and not more than $18,000,000 (the “Maximum Round Amount”).
The Company hereby represents and warrants that as of the date hereof, and covenants and agrees that after the date hereof, none of the Other SPAs includes terms, rights or other benefits that are more favorable, in any material respect, to an Other Investor than the terms, rights and benefits in favor of the Investor hereunder, unless, in any such case, the Investor has been offered in writing the opportunity to receive the benefits of all such more favorable terms, rights and benefits.
Concurrently with the execution of this Agreement, the Company is entering into the Other SPAs with the Other Purchasers for aggregate gross proceeds to the Company, including the investment by the Purchasers contemplated hereunder, of no less than the Minimum Round Amount.
The Company shall have received or shall be contemporaneously receiving at least $200 million in proceeds from the sale of Class A Common Shares to the Other Investors pursuant to the Other SPAs.
