OTPP Designee definition

OTPP Designee means any third party entity to be designated by XXXX and which has entered into an agreement with OTPP under which XXXX has the right to direct the voting and transfer of the shares held by such third party.

Examples of OTPP Designee in a sentence

  • OTPP may direct the Company or the other stockholders to require that any securities that would otherwise be transferred or issued to OTPP instead be transferred or issued to the OTPP Designee to the extent necessary to comply with the 30% rule.

  • The OTPP Designee will not be party to the stockholders agreement.
