Outside Investor definition

Outside Investor shall have the meaning set forth in the Purchase Agreement.

Outside Investor means each of the North Sound Investors, Avalon Ventures VI GP Fund, LLC, Avalon Ventures VI, L.P., Avalon Ventures VII, L.P. and PharmaBio Development Inc.

• Notwithstanding the foregoing, Zoullas may Transfer his Interests and/or Special Membership Interests to any of his Affiliates or to any Outside Investor Member or its Affiliates, and any Outside Investor Member may transfer its Interests and/or Special Membership Interests to its Affiliates or to Zoullas or any of his Affiliates, subject in each case to the requirements of applicable law.

Outside Investor has the meaning ascribed to it in the Stock Purchase Agreement.
