Outstanding Swap Amount definition

Outstanding Swap Amount means on any day an amount equal to the Principal Amount minus the outstanding sum of the Negative Performance plus any Positive Performance, subject to a maximum of the Principal Amount, except that, as specified in the definition of "Re-Strike Mechanism" below, the Outstanding Swap Amount will be reduced to zero thereafter if the Calculation Agent fails to calculate a new Issuer Floating Amounts Spread in accordance with the Re-Strike Mechanism.For the avoidance of doubt, if any Positive Performance is used to offset the Accumulated Negative Performance, it shall not be double counted for the determination of the new Outstanding Swap Amount.The 100% Noteholder may determine a new Outstanding Swap Amount as such amount as it may decide in its sole discretion provided that (i) the new Outstanding Swap Amount is subject to a maximum of the Principal Amount, (ii) the Accumulated Negative Performance must be equal to zero and (iii) the 100% Noteholder notifies the Issuer and the Calculation Agent at least five Business Days prior to the relevant Observation Date of such determination and the Observation Date from which such change shall take effect. The Issuer shall notify the other Transaction Counterparties of such change and of the Observation Date as of which such change is to be effective.
Outstanding Swap Amount means on any day an amount equal to $22,308,645 minus the outstanding sum of the Negative Performance plus any Positive Performance, subject to a maximum of the Principal Amount, except that, as specified in the definition of "Re-Strike Mechanism" below, the Outstanding Swap Amount will be reduced to zero thereafter if the Calculation Agent fails to calculate a new Issuer Floating Amount Spread in accordance with the Re-Strike Mechanism.In the event that some only of the Notes are repurchased and cancelled by the Issuer or the Notes are redeemed in part following the occurrence of an Asset Event, the Calculation Agent may make such changes to the Outstanding Swap Amount as it deems necessary to preserve the economic effects of the transaction. The Calculation Agent shall notify the Issuer and the other Transaction Counterparties of such change and of the date as of which such change is to be effective. The Calculation Agent shall act in a commercially reasonable manner when determining such change but shall have no liability to Noteholders or any other person for the consequences of such change.

  • Aggregate Class A Interest Distributable Amount With respect to any Distribution Date, the sum of (i) the aggregate of the Note Class Interest Distributable Amount for each class of the Class A Notes as of such Distribution Date and (ii) the Class A Interest Carryover Shortfall as of the close of the preceding Distribution Date.
