Overadvance Fee definition

Overadvance Fee has the meaning set forth in Section 13(b) hereof.
Overadvance Fee has the meaning set forth in Section 2 of this Agreement.
Overadvance Fee means the amount of $10,000.00 per calendar month (or any portion thereof) for each calendar month (or any portion thereof) during which an Unauthorized Overadvance exists during any 3 consecutive Business Days or any 5 non-consecutive Business Days, the full amount of which shall be deemed to have been fully earned by Lender on the last day of each respective month;

Examples of Overadvance Fee in a sentence

  • Notwithstanding the requirements of Section 1.9(e) of the Credit Agreement, Agent agrees that such Overadvance Fee shall be payable, and Borrower covenants and agrees that it will pay the Overadvance Fee, on the Commitment Termination Date.

  • Borrower and Lender agree that for the sole purpose of calculating the interest paid by Borrower to Lender, it is the intention of Borrower and Lender that interest shall mean and include, and be expressly limited to, any interest accrued on the aggregate outstanding Daily Balance of the Obligations during the term hereof pursuant to subsections 2.4(a) and 2.4(b), any Overadvance Fee, Facility Fee (as defined below) and late fees charged to Borrower during the term hereof.

  • Without affecting Borrower's obligation to immediately repay to BACC the amount of each Overadvance, Borrower shall pay BACC a fee (the Overadvance Fee) in an amount equal to $250.00 per occurrence of an Overadvance, plus interest on the Overadvance amount at the Default Rate set forth below.

  • The Overadvance Fee shall be payable quarterly in arrears commencing three months after the first day in which there is an overadvance pursuant to the Credit Agreement and only with respect to such days in which there is an overadvance.

  • Notwithstanding the foregoing, the Company shall not be required to pay an Overadvance Fee to the extent that, at the time of the payment thereof, or after giving effect to the payment thereof, the Company is, or would be in violation of the financial covenants contained in the Credit Agreement, in which case any such Overadvance Fee would accrue and be payable as soon as possible.

  • At Lender’s option, the applicable Overadvance Fee may be charged as an Advance hereunder and added to the Obligations regardless of whether an existing Overadvance will be increased thereby.

  • Without affecting Borrower's obligation to immediately repay to Lender the amount of each Overadvance, Borrower shall pay Lender a fee (the Overadvance Fee) in an amount to be agreed upon between Lender and Borrower, but in any event, not less than $500.00 per occurrence of an Overadvance, plus interest on such Overadvance amount at the Default Rate set forth below.

  • For the avoidance of doubt, Borrowers shall not be required to pay the Seasonal Overadvance Fee during the 2013 Seasonal Overadvance Period.

  • In the event of existence of any Unauthorized Overadvance, Borrower shall immediately pay to Lender (and Lender shall be entitled to charge to Borrower's account as part of the Revolving Loans) the Overadvance Fee.

  • Without affecting Borrower’s obligation to immediately repay to BACC the amount of each Overadvance, Borrower shall pay BACC a fee (the Overadvance Fee) in an amount to be agreed upon between BACC and Borrower, but not less than $500.00 per occurrence of an Overadvance, plus interest on the Overadvance amount at the Default Rate set forth below.


More Definitions of Overadvance Fee

Overadvance Fee means the amount of $2,000, which amount shall --------------- be due and payable for each Overadvance.
Overadvance Fee. Means a daily fee equal to the unpaid portion of any Overadvance multiplied by five hundredths of one percent (0.05%) for each calendar day such Overadvance, or any portion thereof, remains unpaid.

Related to Overadvance Fee

  • Overadvance Amount has the meaning specified therefor in Section 2.4(f).

  • Advance fee means any consideration paid or given, directly or indirectly, to a mortgage lender, first mortgage broker or originator required to be licensed or registered pursuant to sections 36a-485 to 36a-498a, inclusive, as amended by this act, prior to the closing of a first mortgage loan to any person, including, but not limited to, loan fees, points, broker's fees or commissions, transaction fees or similar prepaid finance charges;

  • Overadvance Loan means a Base Rate Loan made when an Overadvance exists or is caused by the funding thereof.

  • Overadvance has the meaning set forth in Section 2.5.

  • Cash Advance Fees shall have the meaning specified in the Credit Card Agreement applicable to each Account for cash advance fees or similar terms.

  • Maximum Revolving Advance Amount means $25,000,000.

  • Revolving Advances means Advances made other than Letters of Credit.

  • Canadian Overadvance has the meaning assigned to such term in Section 2.04(b).

  • Unused Revolving Line Facility Fee is defined in Section 2.4(d).

  • Revolving Advance has the meaning given in Section 2.1.

  • Net advance amount means the gross advance amount less the aggregate amount of the actual and estimated transfer expenses required to be disclosed under section 3(e).

  • Permitted Overadvance means an Overadvance made by the Agent, in its discretion, which:

  • Tranche A Advance means an Advance made by a Bank under Tranche A.

  • Maximum Revolving Loan Amount means, as of any date of determination, the lesser of (a) the Revolving Loan Commitment(s) of all Lenders minus the Letter of Credit Reserve and (b) the Borrowing Base minus the Letter of Credit Reserve.

  • Loan Fee shall have the meaning assigned in Section 5.1.

  • Payment Date Advance Reimbursement has the meaning set forth in Section 8.03(a)(iii)(A) of the 20[•]-[•] Servicing Supplement.

  • Facility Fee has the meaning specified in Section 2.09(a).

  • Agent Advances has the meaning set forth in Section 2.3(e)(i).

  • Maximum Revolving Amount means $10,000,000.

  • Agent Advance shall have the meaning provided in Section 2.01(e).

  • Total loan amount means the principal of a loan minus those points and fees that are included in the principal amount of the loan. For open-end loans, the total loan amount must be calculated using the total line of credit allowed under the residential mortgage loan at closing. [PL 2011, c. 427, Pt. A, §15 (NEW).]

  • Advance Payments means the payments made by Customer in advance of delivery with respect of an Aircraft pursuant to Section 4.2 of the Purchase Agreement.

  • Advance Amount means with respect to Class A Advances, the Class A Advance Amount and, with respect to Class B Advances, the Class B Advance Amount.

  • Applicable Facility Fee means the percentage set forth in the table below corresponding to the Level at which the “Applicable Margin” is determined in accordance with the definition thereof:

  • Tranche A Loan shall have the meaning set forth in Section 2.01(a).

  • Protective Advance has the meaning assigned to such term in Section 2.04.
