Overrun Equity definition

Overrun Equity has the meaning set forth in the Equity Funding Agreement.
Overrun Equity means, individually, each capital contribution made to the Borrower in satisfaction of the Equity Contributor’s obligation, pursuant to Article II, to provide its share of the Overrun Equity Contribution and, collectively, the aggregate of all such capital contributions.

  • Without limiting the Sponsor’s obligations under Section 2.2.1, the obligations of each Equity Contributor under this Agreement shall be in proportion to such Equity Contributor’s Base Equity Percentage (for matters concerning Base Equity) or Funded Overrun Equity Percentage (for matters concerning Funded Overrun Equity).

  • The Base Equity Percentage or Funded Overrun Equity Percentage of any Equity Contributor may, by giving written notice to the Collateral Agent and Loan Servicer, be revised from time to time, to the extent permitted by the Operating Agreement for the Master Holding Company.

  • Each Equity Contributor, severally in accordance with Section 2.7, undertakes to provide directly or indirectly to the Borrower the required amounts of Base Equity and Overrun Equity, on and subject to the terms and conditions of this Agreement.

  • The Equity Contributor irrevocably commits to provide Overrun Equity in the aggregate amount equal to (i) 100% of all Overrun Project Costs incurred at any time prior to the Project Completion Date less (ii) the full amount of Overrun Contingencies, provided, that Overrun Project Costs shall first be funded from Overrun Contingencies and only after all Overrun Contingencies are utilized shall Overrun Equity be required from the Equity Contributor.

  • Performing Common Equity means Capital Stock (other than Preferred Stock) and warrants of an issuer all of whose outstanding debt is Performing.

  • Non-Performing Common Equity means Capital Stock (other than Preferred Stock) and warrants of an issuer having any debt outstanding that is non-Performing.

However, in no circumstances can this threshold exceed the dollar value established in the FAR

  • Net Equity Proceeds means an amount equal to any Cash proceeds from a capital contribution to, or the issuance of any Equity Interests of, Holdings or any of its Subsidiaries, net of underwriting discounts and commissions and other reasonable costs and expenses associated therewith, including reasonable legal fees and expenses.

  • Return on Invested Capital for a period shall mean earnings before interest, taxes, depreciation and amortization divided by the difference of total assets less non-interest bearing current liabilities.

  • Net Equity ’ means, subject to such rules and regulations as the Commission pro- mulgates under the Act, with respect to the aggregate of all of a customer’s accounts that such customer has in the same capacity—

  • Initial Capital Contributions has the meaning set forth in Section 3.01.

  • Operating Income means the Company’s or a business unit’s income from operations but excluding any unusual items, determined in accordance with generally accepted accounting principles.

  • OP Unit Economic Balance has the meaning set forth in Section 6.03(c) hereof.

  • Initial Capital Contribution has the meaning set forth in Section 4.1.

  • Non-Financed Capital Expenditures means Capital Expenditures paid in cash and not financed with Indebtedness for borrowed money.

  • Net Economic Return shall have the meaning ascribed to such term in paragraph 2 of Exhibit E to the Lease.
