Ownership and/or Control definition

Ownership and/or Control means and includes, without limitation, all voting rights and beneficial ownership with respect to all classes of stock, interests in limited liability companies, general partnerships, and limited partnerships, and/or beneficial interests under a trust, as may be applicable to the type of entity which is prohibited from making the particular Transfer in question. The term “Third Party” shall mean and include any person or entity that has acquired or hereafter acquires any interest in Tenant and any person or entity that is or becomes a joint venturer or general or limited partner of Tenant with respect to all or any portion of the Leased Premises and/or this Lease.

  • Common ownership means that more than 50% of the voting control of each member of a combined group is directly or indirectly owned by a common owner or owners, either corporate or non-corporate, whether or not the owner or owners are members of the combined group. Whether voting control is indirectly owned shall be determined in accordance with section 318 of the federal Internal Revenue Code, 26 U.S.C. s.318.
