Par Redemption Price definition

Par Redemption Price shall have the meaning set forth in Section 3.01(b).
Par Redemption Price on any date means an amount equal to the sum of (a) $1,000 plus (b) an amount equal to the accrued but unpaid dividends on the share of Series B Convertible Preferred Stock to be redeemed to the Par Redemption Date, plus (c) an amount equal to the accrued and unpaid interest on dividends in arrears on such share of Series B Convertible Preferred Stock to the Par Redemption Date (determined as provided in Section 5).
Par Redemption Price. ’ means, in respect of each Note, an amount equal to the sum of its denomination plus the accrued and unpaid interest thereon for the then current Interest Period (including Arrears of Interest and interest thereon) and, if the Redemption Date is on or within five business days following an Interest Payment Date, the interest payable thereon with respect to that Interest Payment Date, to the extent unpaid and any Additional Amounts.

  • If the giving of the notice of redemption is completed as provided in the Indenture, interest on such Securities or portions of Securities shall cease to accrue on and after the Make-Whole Redemption Date or Par Redemption Date, as applicable, unless the Company shall default in the payment of such Make-Whole Redemption Price or Par Redemption Price, as applicable, and accrued interest with respect to any such Security or portion thereof.

  • At any time after the first anniversary of date hereof, under certain circumstances and in accordance with certain procedures to be agreed upon between the Issuers and the Holders, the Issuers shall at the option of the Holder (delivered by notice to the Issuers at least two (2) Business Days prior to the redemption date) (a) pay to the Holder the Par Redemption Price and issue to the Holder a Redemption Warrant, or (b) pay to the Holder the Premium Redemption Price.

  • Subject to the terms of this Section 16.01, the Company shall be required to redeem €96,750,000 in aggregate principal amount of the Notes (or, if the outstanding amount of Notes at such time is less than such amount, all of the Notes) on the first anniversary of the Issue Date, for a cash purchase price equal to the Par Redemption Price.

Par Redemption Price means, for any Notes to be redeemed pursuant to Section 16.01(b), 100% of the principal amount of such Notes, plus accrued and unpaid interest, if any, to, but excluding, the Redemption Date (unless the Redemption Date falls after a Regular Record Date but on or prior to the immediately succeeding Interest Payment Date, in which case interest accrued to the Interest Payment Date shall be paid to Holders of record of such Notes as of the close of business on such Regular Record Date, and the Par Redemption Price shall be equal to 100% of the principal amount of such Notes).

  • Series A Redemption Price has the meaning set forth in Section 16.6(a).

  • Note Redemption Price means, for the Redemption Date, an amount equal to the sum of:

  • Optional Redemption Price means $25,000 per share plus an amount equal to accumulated but unpaid dividends (whether or not earned or declared) to the date fixed for redemption and excluding Additional Dividends plus any applicable redemption premium attributable to the designation of a Premium Call Period.

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.
