If the giving of the notice of redemption is completed as provided in the Indenture, interest on such Securities or portions of Securities shall cease to accrue on and after the Make-Whole Redemption Date or Par Redemption Date, as applicable, unless the Company shall default in the payment of such Make-Whole Redemption Price or Par Redemption Price, as applicable, and accrued interest with respect to any such Security or portion thereof.
At any time after the first anniversary of date hereof, under certain circumstances and in accordance with certain procedures to be agreed upon between the Issuers and the Holders, the Issuers shall at the option of the Holder (delivered by notice to the Issuers at least two (2) Business Days prior to the redemption date) (a) pay to the Holder the Par Redemption Price and issue to the Holder a Redemption Warrant, or (b) pay to the Holder the Premium Redemption Price.
At or prior to the time of giving of any notice of redemption to the Holders of any 2016 Notes, 2019 Notes, 2023 Notes or 2043 Notes to be redeemed, the Company shall deliver, if applicable, an Officer’s Certificate to the Trustee setting forth the calculation of the 2016 Redemption Price, 2019 Redemption Price, 2023 Redemption Price, 2043 Redemption Price, 2043 Notes Par Redemption Price or the 2043 Notes Par Redemption Price applicable to such redemption.
The Maturity Redemption Price, the Par Redemption Price and the Make-Whole Redemption Price are referred to collectively as the “Redemption Price.” Holders will be given not less than 30 nor more than 60 days notice of such redemption.
Subject to the terms of this Section 16.01, the Company has the right, at its election, to redeem all, or any portion of, the Notes equal to €1,000,000 or in integral multiples of €500,000 in excess thereof (provided that Notes of €1,000,000 or less may only be redeemed in whole and not in part), at any time and from time to time, on a Redemption Date on or before the first anniversary of the Issue Date, for a cash purchase price equal to the Par Redemption Price.
The Note Issuer shall have the right (subject to the conditions in the Indenture) to elect to prepay the Notes in whole or in part at any time on or after June 13, 2016, upon not less than 30 days and not more than 60 days notice, at the Par Redemption Price and, simultaneous with such prepayment, to cause a Like Amount of the Securities to be redeemed by the Trust at the Par Redemption Price on a Pro Rata basis.
The Trustee shall be under no duty to inquire into, may conclusively presume the correctness of, and shall be fully protected in relying upon the 2016 Redemption Price, 2019 Redemption Price, 2023 Redemption Price, 2043 Redemption Price, 2043 Notes Par Redemption Price or the 2043 Notes Par Redemption Price, as applicable, as so calculated and set forth in such Officer’s Certificate.
Subject to the terms of this Section 16.01, the Company shall be required to redeem €96,750,000 in aggregate principal amount of the Notes (or, if the outstanding amount of Notes at such time is less than such amount, all of the Notes) on the first anniversary of the Issue Date, for a cash purchase price equal to the Par Redemption Price.
