Parent Disclosure Documents definition

Parent Disclosure Documents has the meaning set forth in Section 4.6(b).

Parent Disclosure Documents means any form, report, schedule, statement or other document required to be filed or provided with or to the SEC, NYSE, Euronext or other Governmental Authority by Parent or distributed or otherwise disseminated by Parent to Parent's shareholders, the Company's shareholders or the holders of any outstanding Company Stock Options or Company RSUs in connection with the Transactions, including the Registration Statement, the Proxy Statement, the EU Listing Prospectus, the Parent Special Board Report and the Parent Audit Report.

Examples of Parent Disclosure Documents in a sentence

• The Parent has timely filed or furnished all Parent Disclosure Documents required to be filed or furnished by the Parent with any Governmental Authority (including “documents affecting the rights of securityholders” and “material contracts” required to be filed by Part 12 of National Instrument 51-102 – Continuous Disclosure Obligations).

• Except as set forth in the Parent Disclosure Documents, neither Parent, nor any of its subsidiaries, nor any of their respective assets or properties, is subject to any material outstanding judgment, order, writ, injunction or decree applicable to Parent or any of its subsidiaries on a consolidated basis.

• Since the most recent fiscal quarter end, other than as set out in the Parent Disclosure Documents, there has not been any change that has had a Parent Material Adverse Effect.

• To Parent’s Knowledge, and as otherwise set forth in the Parent Disclosure Documents, no event has occurred or circumstances exist that would reasonably be expected to give rise to, or serve as a basis for, any such Action.

• Other than as disclosed in the Parent Disclosure Documents, the Parent has timely filed or furnished all Parent Disclosure Documents required to be filed or furnished by the Parent with any Governmental Authority (including “documents affecting the rights of securityholders” and “material contracts” required to be filed by Part 12 of National Instrument 51-102 – Continuous Disclosure Obligations).

More Definitions of Parent Disclosure Documents

Parent Disclosure Documents means all available documents filed by Parent with the NASD, the SEC or documents otherwise provided by Parent to the Company prior to the Effective Time.

Parent Disclosure Documents shall have the meaning set forth in SECTION 3.19.

Parent Disclosure Documents shall have the meaning set forth in Section 3.19.
