Parent Disclosure Documents definition

Parent Disclosure Documents has the meaning set forth in Section 4.6(b).

Examples of Parent Disclosure Documents in a sentence

  • The Parent has timely filed or furnished all Parent Disclosure Documents required to be filed or furnished by the Parent with any Governmental Authority (including “documents affecting the rights of securityholders” and “material contracts” required to be filed by Part 12 of National Instrument 51-102 – Continuous Disclosure Obligations).

  • Except as set forth in the Parent Disclosure Documents, neither Parent, nor any of its subsidiaries, nor any of their respective assets or properties, is subject to any material outstanding judgment, order, writ, injunction or decree applicable to Parent or any of its subsidiaries on a consolidated basis.

More Definitions of Parent Disclosure Documents

Parent Disclosure Documents means all available documents filed by Parent with the NASD, the SEC or documents otherwise provided by Parent to the Company prior to the Effective Time.
