Parent Disclosure Memorandum means the written information entitled "Parent Memorandum" delivered prior to the date of this Agreement to Subject Company describing in reasonable detail the matters contained therein and, with respect to each disclosure made therein, specifically referencing each Section of this Agreement under which such disclosure is being made.

Parent Disclosure Memorandum means the written information entitled "Akamai Technologies, Inc. Disclosure Memorandum" delivered prior to the date of this Agreement to Company describing the matters contained therein and, with respect to each disclosure made therein, specifically referencing each Section and subsection of this Agreement under which such disclosure is being made. Information disclosed with respect to one Section or subsection shall be deemed to be disclosed for purposes of all other Sections or subsections not specifically referenced with respect thereto to the extent that the application of such disclosure to such other Sections or subsections is reasonably apparent from the disclosure contained therein.

Parent Disclosure Memorandum means the written information entitled “Parent Disclosure Memorandum” delivered with this Agreement to PLMT and attached hereto.

Examples of Parent Disclosure Memorandum in a sentence

This Agreement (including the Corporation Disclosure Memorandum, the Parent Disclosure Memorandum and all other Exhibits and Schedules hereto), and the other Operative Documents, constitute the entire agreement among the parties with respect to the subject matter hereof and thereof and supersede all prior (but not concurrent) agreements and undertakings, both written and oral, among the parties, or any of them, with respect to the subject matter hereof and thereof.

Related to Parent Disclosure Memorandum

Parent Disclosure Schedule means the Parent Disclosure Schedule delivered to the Company on the date of this Agreement.
Parent Disclosure Letter has the meaning set forth in Article IV.
Company Disclosure Schedules means the disclosure schedules delivered by the Company to the Commitment Parties on the date of this Agreement.
Company Disclosure Schedule means the Company Disclosure Schedule delivered to Parent on the date of this Agreement.
Buyer Disclosure Letter means the disclosure letter delivered by Buyer to Seller concurrently with the execution and delivery of this Agreement.
Buyer Disclosure Schedule means the disclosure schedule dated as of the date hereof delivered by Buyer to Seller in connection with the execution and delivery of this Agreement.
Company Disclosure Letter has the meaning set forth in Article III.
Disclosure Schedule has the meaning set forth in Section 3 below.
Disclosure Letter means the disclosure letter dated the date of this Agreement and delivered by the Vendor to the Purchaser with this Agreement.

Purchaser Disclosure Schedule means the schedule (dated as of the date of the Agreement) delivered to Seller and the Members by the Purchaser, a copy of which is attached to this Agreement.
Seller Disclosure Schedule means the disclosure schedule delivered by Seller to Purchaser contemporaneously with the execution and delivery of the Agreement.
Disclosure Letters means the Seller Disclosure Letter and the Buyer Disclosure Letter.
Sellers Disclosure Schedule means the disclosure schedule delivered by the Sellers to the Purchaser on the date hereof.
SEC Filings has the meaning set forth in Section 4.6.
SEC Documents shall have the meaning specified in Section 4.5.
Company SEC Documents has the meaning set forth in Section 3.04(a).
Buyer SEC Documents shall have the meaning set forth in Section 4.10(a).
