Parent Equity means, collectively, restricted stock units of Parent, restricted stock awards of Parent and/or restricted cash awards of Parent.
Parent Equity. Interests shall mean all of the capital stock and options, warrants and other rights to acquire capital stock of Parent. PBGC shall mean the Pension Benefit Guaranty Corporation, and any entity succeeding to any or all of its functions under ERISA. Permitted LC shall mean a Letter of Credit issued with the Requisite Lenders' prior written consent; provided, however, that (a) each such Letter of Credit shall expire pursuant to its terms on or before the Working Capital Loan Termination Date, (b) at no time shall Total WC Exposure exceed the Working Capital Commitment in effect at such time, (c) Borrower's reimbursement obligations with respect to each such Letter of Credit shall be secured by an LC Guaranty and (d) Lenders and the respective Issuer shall have agreed in writing that the Relevant Cap for such LC Guaranty shall be increased by an amount equal to the Stated Amount of such Letter of Credit. Permitted Liens shall mean any of the following Liens:
