Parent Filed SEC Documents definition

Parent Filed SEC Documents shall have the meaning set forth in Section 5.6.
Parent Filed SEC Documents means the documents (including portions of exhibits containing the audited financial statements of Parent, the notes thereto or Management’s Discussion and Analysis of Financial Condition and Results of Operations but excluding all other exhibits or portions thereof) filed with or furnished to the SEC by Parent or any of its Subsidiaries and publicly available on the Electronic Data Gathering, Analysis and Retrieval System since December 31, 2001 and prior to the date of the execution of this Agreement.
Parent Filed SEC Documents shall have the meaning set forth in Section 5.7.

  • Except as disclosed in Item 4.12 of the Parent Letter or in the Parent Filed SEC Documents, as of the date of this Agreement, there is no suit, action, proceeding or investigation pending or, to Parent's knowledge, threatened, against Parent or any of its Subsidiaries that, individually or in the aggregate, would reasonably be expected to have a Material Adverse Effect on Parent or prevent or materially delay the consummation of the Reorganization.

More Definitions of Parent Filed SEC Documents

Parent Filed SEC Documents means the documents (but excluding the exhibits thereto) filed by Parent with the SEC and publicly available since December 31, 2000 and prior to the execution of this Agreement.
Parent Filed SEC Documents shall have the meaning set forth in the preamble to Article V.
Parent Filed SEC Documents means the forms, reports and documents filed or to be filed by the Parent with the SEC since January 1, 1996.
Parent Filed SEC Documents shall have the meaning in Section 3.2 (d) hereof

  • SEC Documents shall have the meaning specified in Section 4.5.

  • Company Disclosure Documents is defined in Section 3.4(g) of the Agreement.

  • Company Financials means the Audited Financial Statements and the Interim Financial Statements.

  • Parent Financial Statements has the meaning set forth in Section 4.6(a).

  • Disclosure Materials has the meaning set forth in Section 3.1(h).

  • Current Financials means, at any time, the consolidated Financial Statements of the Companies most recently delivered to Administrative Agent under Section 7.1(a) or 7.1(b), as the case may be.

  • Company Financial Statements has the meaning set forth in Section 3.6(a).

  • Disclosure Time means, (i) if this Agreement is signed on a day that is not a Trading Day or after 9:00 a.m. (New York City time) and before midnight (New York City time) on any Trading Day, 9:01 a.m. (New York City time) on the Trading Day immediately following the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent, and (ii) if this Agreement is signed between midnight (New York City time) and 9:00 a.m. (New York City time) on any Trading Day, no later than 9:01 a.m. (New York City time) on the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent.

  • Company Disclosure Schedules means the disclosure schedules delivered by the Company to the Commitment Parties on the date of this Agreement.

  • Subsequent Disclosure Documents means any financial statements, management’s discussion and analysis, information circulars, annual information forms, material change reports (other than confidential material change reports), business acquisition reports or other documents issued by the Corporation after the Execution Time which are, or are deemed to be, pursuant to applicable Securities Laws, incorporated by reference into the Final Prospectuses or any Prospectus Amendment;

  • Current Report shall have the meaning assigned to such term in Section 2.3.

  • Purchaser Financial Statements shall have the meaning specified in Section 4.8.1.

  • Company Disclosure Letter has the meaning set forth in Article III.
