Participation Portion definition

Participation Portion shall have the meaning set forth in Section 5.1.1(a).

Examples of Participation Portion in a sentence

• To the extent that any Participation Offeree does not offer to purchase its full Participation Portion of the Subject Securities, any such Subject Securities shall be offered to those Participating Buyers who have offered to purchase their full Participation Portion, pro rata in accordance with the Purchase Price Value of Participation Shares held by such Participating Buyers.

• The Exercising Stockholders shall be entitled to purchase in the Post-Closing Issuance a number of Participation Securities equal to the lesser of (A) the maximum number of Participation Securities such Exercising Stockholder has elected to purchase in the Post-Closing Issuance in its, his or her irrevocable written notice of acceptance and (B) such Exercising Stockholder’s Participation Portion.

• Any Co-Investor may assign its right to purchase its Participation Portion to any other Co-Investor(s).

• Within twenty (20) Business Days after delivery of the Participation Notice, each Participation Stockholder desiring to accept the offer pursuant to Section 8.1(b)(ii) shall send an irrevocable commitment (each a “Participation Commitment”) to the Company specifying the amount or proportion of Securities which such Participation Stockholder desires to be issued up to such Participation Stockholder’s Participation Portion (each a “Participating Buyer”).

• Each Participation Offeree desiring to accept the offer contained in the Participation Notice shall send a written commitment to the Issuer within fifteen days after the effectiveness of the Participation Notice specifying the amount of Subject Securities (not in any event to exceed the Participation Portion of the total amount of Subject Securities to be included in the Issuance) which such Participation Offeree desires to be issued (each a “Participating Buyer”).

More Definitions of Participation Portion

Participation Portion means, for each Participating Stockholder as of the date of the relevant Participation Notice, the product of (i) the total number of Participation Shares proposed to be issued by the Company in the Post-Closing Issuance as set forth in the Participation Notice, and (ii) a fraction, the numerator of which is the aggregate number of Share Equivalents owned by such Participating Stockholder as of the date of the relevant Participation Notice and the denominator of which is the total number of outstanding Share Equivalents as of the date of the relevant Participation Notice.

Participation Portion has the meaning set forth in Section 3(a)(2).

Participation Portion means, with respect to each Selling Shareholder, the percentage of IDIT Purchase Price or FIS Purchase Price, as the case may be, appearing opposite the name of such Selling Shareholder, in Exhibit C and Exhibit D in the columns entitled Participation Portion which shall include, with respect to FIS, different columns for the Cash Consideration and the FIS Consideration Shares.

Participation Portion means, for each Participation Eligible Stockholder, as of the date of the relevant Participation Notice, the product of (i) the total number or aggregate principal amount of Participation Securities proposed to be issued by the Company or its Subsidiary, as applicable, in the Post-Closing Issuance as set forth in the Participation Notice and (ii) a fraction, the numerator of which is the aggregate number of shares of DHI Common Stock (including shares of DHI Common Stock issuable upon exercise of warrants and upon exercise, vesting or delivery of Company Awards) owned by such Participation Eligible Stockholder as of the date of the relevant Participation Notice and the denominator of which is the total number of shares of DHI Common Stock (including shares of DHI Common Stock issuable upon exercise of warrants and upon exercise, vesting or delivery of Company Awards) held by all Participation Eligible Stockholders and any other Persons who have participation, pre-emptive or similar rights to purchase Covered Securities in such Post-Closing Issuance, in each case as of the date of the relevant Participation Notice.

Participation Portion means a fraction the numerator of which is the aggregate number of Common Shares issuable upon the conversion of the Series B Shares held by an Investor as of the date of the Pre-Emptive Right Notice, and the denominator of which is the aggregate number of Common Shares issued and outstanding as of the date of the Pre-Emptive Right Notice, assuming for such purposes that all Series B Shares have been converted into Common Shares in accordance with their terms as of such date.
