This indemnification is the sole and exclusive remedy available to Partner with respect to any third-party Intellectual Property claims against any Partner Indemnitee.
Partner shall indemnify, defend, and hold harmless Solver and its Affiliates, and each of its and their respective officers, directors, employees, agents, successors, and permitted assigns (each, a “Solver Indemnitee”) from and against any and all Losses incurred by a Solver Indemnitee in connection with any Action by a third party (other than an Affiliate of a Solver Indemnitee) that arise from or relate to a material breach by a Partner Indemnitee of the terms of this Agreement.
Any notice, demand, request or report required or permitted to be given or made to a Partner, Indemnitee or Assignee under this Agreement shall be in writing and shall be deemed given or made when delivered in person or five days after being sent by first class United States mail or by overnight delivery or via facsimile to the Partner or Assignee at the address set forth in the Register or such other address of which the Partner shall notify the General Partner in writing.
