Per Share Warrant Consideration definition

Per Share Warrant Consideration means $2.45 with respect to each share of Company Common Stock subject to a Company Warrant.
Per Share Warrant Consideration means a warrant to purchase such fractional share of Purchaser Common Stock equal to the quotient of dividing (A) the Aggregate Warrant Consideration by (B) the number of shares of Fully-Diluted Company Stock.
Per Share Warrant Consideration means, in respect of each share of Company Capital Stock underlying a Vested Company Warrant, an amount of cash equal to the excess, if any, of (i) the Per Share Merger Consideration over (ii) the applicable per share exercise price of such Vested Company Warrant.
