Per Share Warrant Consideration means $2.45 with respect to each share of Company Common Stock subject to a Company Warrant.

More Definitions of Per Share Warrant Consideration

Per Share Warrant Consideration has the meaning set forth in Section 1.04(d).
Per Share Warrant Consideration means (i) with respect to each Company Share held by an Accredited Investor, a Parent Consideration Warrant exercisable for the number of shares of Parent Class A Common Stock issuable for such class and series of Company Shares, as set forth on the Final Consideration Spreadsheet, and (ii) with respect to a Non-Accredited Investor, an amount in cash for such class and series of Company Share, as set forth on the Final Consideration Spreadsheet.
Per Share Warrant Consideration means a number of Warrants equal to the quotient obtained by dividing (A) ninety-five percent (95%) of the aggregate number of Warrants to be issued, by (B) the Fully Diluted Ordinary Shares Number (excluding the Valor Preferred S Shares).

Per Share Warrant Consideration means, with respect to any Warrant, (a) the Per Share Common Stock Consideration minus (b) the per share exercise price of such Warrant, as set forth on Annex I hereto.
