Performance Price definition

Performance Price means the average Fair Market Values of one Share over a period of twenty (20) consecutive trading days within the Performance Period.
Performance Price means the average of (A) the highest weighted average Fair Market Value per Share for the trading days within any thirty (30) day period within the Performance Period (the “First Measurement Price”) and (B) weighted average Fair Market Value per Share for the trading days within the thirty (30) day period ending on the last day of the Performance Period (the “Last Measurement Price”); provided that no trading day may be used more than once in the calculation of the First Measurement Price and the Last Measurement Price.
Performance Price means the lowest Fair Market Value per Share of all of the trading days within any thirty (30) consecutive calendar day period within the Performance Period.

Examples of Performance Price in a sentence

  • In no event will the Performance Vesting Percentage exceed 100% regardless of the Performance Price and in no event shall the PSUs be vested with respect to any Performance Price on more than one occasion.

  • Upon a Change in Control (as defined in the Plan) or in the event that you experience a Qualifying Termination, in either case within the Performance Period, the PSUs shall vest based on a Performance Vesting Percentage that assumes that the Performance Price is equal to the per Share consideration received by holders of Shares in the Change in Control (as determined by the Committee), which shall be the “target” level of performance as described in the Plan and the CIC Severance Plan.

Related to Performance Price

  • Performance Share means an Award denominated in Shares which may be earned in whole or in part upon attainment of performance goals or other vesting criteria as the Administrator may determine pursuant to Section 10.

  • Performance Share Unit or “PSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 6;

  • Performance Factor means any matter that could or will significantly affect a party’s ability to fulfill its obligations under this Agreement;

  • Performance Unit means an Award which may be earned in whole or in part upon attainment of performance goals or other vesting criteria as the Administrator may determine and which may be settled for cash, Shares or other securities or a combination of the foregoing pursuant to Section 10.

  • Performance Target means the level of performance expected of the HSP in respect of a Performance Indicator or a Service Volume; “person or entity” includes any individual and any corporation, partnership, firm, joint venture or other single or collective form of organization under which business may be conducted;

  • Performance Period means the one or more periods of time, which may be of varying and overlapping durations, as the Committee may select, over which the attainment of one or more Performance Goals will be measured for the purpose of determining a Participant’s right to, and the payment of, a Performance-Based Award.
