Performance Warrant definition

Performance Warrant means that certain performance-based warrant to acquire shares of Common Stock issued to a strategic investor in the Company, or its affiliate, in connection with the original issuance of the same number of shares of Series C Preferred to such investor, or any affiliate thereof.
Performance Warrant means a Common Share purchase warrant entitling the holder to purchase one Common Share at a price of $5.17 for a period of five years, issued pursuant to the private placement that took place in conjunction with the Recapitalization;
Performance Warrant means performance-based Standard Share purchase warrants, each such Performance Warrant entitling the holder to purchase one Standard Share at a price of $0.02 (on a pre- Consolidated basis) for a period of five years.

Examples of Performance Warrant in a sentence

  • The Commitment Warrant and the Performance Warrant are sometimes collectively referred to herein as the "Warrants".

  • If any Performance Warrant certificate is lost mutilated, destroyed or stolen, the Corporation may, on such reasonable terms as to cost and indemnity or otherwise as they may impose, respectively issue a replacement Performance Warrant certificate similar as to denomination, tenor and date as the Performance Warrant certificate so lost, mutilated, destroyed or stolen.

  • The Performance Warrant issued to Aura in such case shall have all of the same registration rights and other rights set forth in Section C, below.

More Definitions of Performance Warrant

Performance Warrant means a performance warrant entitling the Holder thereof to acquire a designated number of Common Shares from treasury at a price as determined in accordance with subsection 1(c);
