Performance Warrant definition

Performance Warrant means that certain performance-based warrant to acquire shares of Common Stock issued to a strategic investor in the Company, or its affiliate, in connection with the original issuance of the same number of shares of Series C Preferred to such investor, or any affiliate thereof.

Performance Warrant shall have the meaning assigned to such term in RECITAL D.

Performance Warrant means a performance warrant of the Purchaser each exercisable for a period of 36 months from the date of issuance thereto to acquire one Purchaser Share at an exercise price of $0.30.

Examples of Performance Warrant in a sentence

Each Performance Warrant is exercisable into one common share of the Company at an exercise price of $0.35.
The Commitment Warrant and the Performance Warrant are sometimes collectively referred to herein as the "Warrants".
If any Performance Warrant certificate is lost mutilated, destroyed or stolen, the Corporation may, on such reasonable terms as to cost and indemnity or otherwise as they may impose, respectively issue a replacement Performance Warrant certificate similar as to denomination, tenor and date as the Performance Warrant certificate so lost, mutilated, destroyed or stolen.
In consideration therefore, Ontro agrees to grant to Aura a warrant (the "Commitment Warrant") to purchase 210,000 shares of Ontro common stock for $1.00 per share, and with all other terms of the Commitment Warrant to be the same as the Performance Warrant defined in paragraph A.2.(b) below.
The Escrow Agent shall deliver to the Purchaser the Performance Warrant within two Trading Days following its receipt of the Performance Warrant Statement.

Performance Warrant has the meaning set forth in Section 2(k) below.

Performance Warrant means a warrant entitling the holder thereof to acquire Common Shares upon the Corporation meeting certain criteria as disclosed in the Corporation's management information circular dated May 7, 2009.

Performance Warrant means the Performance Warrant granted by the Company to Purchaser in the form of Exhibit C.
