Permanent Global Class R Note is defined in Section 4.2.
Permanent Global Note means a permanent global Bearer Note in the form or substantially in the form set out in Appendix B-2 hereto (or in such other form as may be agreed between the relevant Issuer, the Agent and the relevant Purchaser(s)) comprising some or all of the Notes of the same Series, issued or to be issued by the relevant Issuer either in exchange for the whole or part of a Temporary Global Note issued in respect of the Notes of the same Tranche or initially representing the Notes;
Regulation S Permanent Global Certificate means any single permanent global Certificate, in definitive, fully registered form without interest coupons received in exchange for a Regulation S Temporary Global Certificate.
Regulation S Permanent Global Security means a permanent global Security in the form of Exhibit A hereto bearing the Global Security Legend and the Private Placement Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount of the Regulation S Temporary Global Security upon expiration of the Restricted Period.
Regulation S Permanent Global Note means a permanent Global Note in the form of Exhibit A1 hereto bearing the Global Note Legend and the Private Placement Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount of the Regulation S Temporary Global Note upon expiration of the Restricted Period.
Permanent Offshore Global Note means an Offshore Global Note that does not bear the Temporary Offshore Global Note Legend.
Initial Class D Note Balance means $142,370,000.
Permanent Regulation S Global Note shall have the meaning specified in Section 2.1(d).
Class R-4 Interest The uncertificated Residual Interest in REMIC 4.
Initial Class C Note Balance means $152,941,000.
Class R-3 Interest The uncertificated Residual Interest in REMIC 3.
IAI Global Note means a Global Note substantially in the form of Exhibit A1 hereto bearing the Global Note Legend and the Private Placement Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee that will be issued in a denomination equal to the outstanding principal amount of the Notes sold to Institutional Accredited Investors.
Encumbered Required Subordinated Amount of Class D Notes means, for the Class C( - ) Notes, an amount equal to the product of
Public Global Certificates A Global Certificate relating to a Class of Public Certificates.
Class R-II Interest The uncertificated Residual Interest in REMIC II.
Restricted Global Certificate Has the meaning specified in Section 3.01(c).
Regulation S Global Certificates As defined in Section 5.02(c)(i) of this Agreement.
Global Certificate means a Certificate that evidences all or part of the Units and is registered in the name of the Depositary or a nominee thereof.
Class R-IV Interest The uncertificated Residual Interest in REMIC IV.
Class R-5 Interest The uncertificated Residual Interest in REMIC 5.
Class R-I Interest The uncertificated Residual Interest in REMIC I.
Class R-1 Interest The uncertificated Residual Interest in REMIC 1.
Regulation S Global Certificate With respect to any Class of Book-Entry Non-Registered Certificates offered and sold to institutions that are non-United States Securities Persons in Offshore Transactions in reliance on Regulation S, a single global Certificate, or multiple global Certificates collectively, in definitive, fully registered form without interest coupon, each of which Certificates bears a Regulation S Legend.
Global Certificates Any Certificate registered in the name of the Depository or its nominee.
Class D Notes has the meaning assigned to such term in the Indenture.
Class R-III Interest The uncertificated Residual Interest in REMIC III.
