The Philadelphia Affiliate Ground Lessor is the sole legal and equitable fee owner of the Philadelphia Property, subject only to Permitted Liens.

Rather, Mid-Wilshire and ASOT will enter into the Philadelphia Put Agreement on the First Closing Date, pursuant to which Mid-Wilshire will have the right (but not the obligation) to contribute the Philadelphia Property to ASOT or a Qualified Designee in accordance with the terms of the Philadelphia Put Agreement.
The SPE Group has received property in the amount of $11.742 million in respect of the SPE Claims on account of the payments to the SPE Group from the sale of the SPE Providence Property and the transfer of title of SPE Philadelphia Property to the SPE Group.
