Physical Settlement Notice definition

Physical Settlement Notice has the meaning set forth in Section 5.1.
Physical Settlement Notice means an irrevocable notice to the Determination Agent (acting on behalf of the Company) by which the Relevant Noteholder provides evidence of its entitlement to its holding of Notes and contact details, such notice being in the form set out in Schedule 4 hereto.
Physical Settlement Notice means an irrevocable notice (duly completed to the satisfaction of the Determination Agent) to the Determination Agent, the Company, the Trustee, the Paying Agent, the Calculation Agent and the Counterparty in which the Noteholders provide confirmation in respect of the following items: (i) the identity and contact details of the Noteholders; (ii) proof satisfactory to the Determination Agent of ownership of the Notes; (iii) settlement instructions in respect of the delivery of the Portfolio; and (iv) confirmation that the Cash Top-up Amount will be received (or deemed to be received) by the Company by the Top-up Payment Date, such notice being substantially in the form set out in Schedule 4.

Examples of Physical Settlement Notice in a sentence

  • The Issuer undertakes that it will, at all times following the date on which the Physical Settlement Notice is given, maintain treasury shares or authorised share capital, free of pre-emption rights sufficient in aggregate for the issuance of Shares that would be required to be delivered to Bondholders on exercise of Conversion Rights in respect of all outstanding Bonds from time to time.

  • Failure properly to complete and deliver a Physical Settlement Notice may result in such notice being treated as null and void.

  • The Calculation Agent (on behalf of the Issuer) may from time to time on or prior to the Physical Settlement Date give notice of any amendment to the Intended Physical Settlement Notice (or any amendment notice in respect thereof) to the Holder.

  • Any such dividend or other distribution to be paid to a Holder shall be paid to the account specified in the relevant Physical Settlement Notice.

  • Forms of the Physical Settlement Notice may be obtained during normal business hours from the specified office of any Paying Agent.

  • If a Physical Settlement Notice is delivered to Euroclear, Clearstream, Luxembourg or a Paying Agent, as the case may be, with a copy to the Principal Paying Agent and the Issuer, later than the close of business in each place of receipt on the Cut‐Off Date, then the Notes specified in the Physical Settlement Notice shall be redeemed by Cash Settlement.

  • If such Physical Settlement Notice is subsequently corrected to the satisfaction of the Issuer or the relevant Paying Agent, in each case in consultation with the Principal Paying Agent and, in the case of the relevant Paying Agent, the Issuer, it shall be deemed to be a new Physical Settlement Notice submitted at the time such correction was delivered as provided above.

  • The Issuer or the relevant Paying Agent, as applicable, shall use reasonable efforts to promptly notify the Holder submitting a Physical Settlement Notice if, in consultation with the Principal Paying Agent, in the case of the relevant Paying Agent, and the Issuer, it has determined that such Physical Settlement Notice is incomplete or not in proper form.

  • For this purpose, the relevant Asset Package, if applicable, will be deemed to be a Deliverable Obligation and the composition of the Asset Package and the Asset Amount in respect of each nominal amount of Notes equal to the Calculation Amount or each Certificate, as the case may be, will be determined by reference to the relevant Prior Deliverable Obligation or Package Observable Bond specified in the relevant Physical Settlement Notice or Physical Settlement Amendment Notice, as applicable.

  • If the Liquidation Collateral has not been Liquidated in full on or prior to the Liquidation Cut-off Date, the Disposal Agent shall notify the Instrumentholders (the "Final Physical Settlement Notice").


More Definitions of Physical Settlement Notice

Physical Settlement Notice means a notice in writing substantially in the form set out in Schedule 4 (Form of Physical Settlement Notice) from the Issuer to the Noteholders delivered in accordance with Condition 14 (Notices) that, inter alia, (a) requests each Noteholder duly to complete and deliver to the Issuer an Asset Transfer Notice by the deadline specified in the Physical Settlement Notice and (b) confirms that the Issuer will redeem the relevant portion of the Notes by way of Physical Settlement (subject to the occurrence of a Cash Settlement Event.
Physical Settlement Notice means an irrevocable notice to the Determination Agent (acting on behalf of the Company) by which the Relevant Noteholder provides evidence of its entitlement to its holding

Related to Physical Settlement Notice

  • Physical Settlement Amount For any Settlement Date for which Physical Settlement is applicable, an amount in cash equal to the product of (a) the Forward Price in effect on the relevant Settlement Date multiplied by (b) the Settlement Shares for such Settlement Date.

  • Physical Settlement shall have the meaning specified in Section 14.02(a).

  • Physical Settlement Date means the date (which may occur after the Scheduled Maturity Date) specified as such in the Intended Physical Settlement Notice falling 10 Business Days after the date of the Intended Physical Settlement Notice.

Notwithstanding the manner in which the viatical settlement broker is compensated, a viatical settlement broker is deemed to represent only the viator, and not the insurer or the viatical settlement provider, and owes a fiduciary duty to the viator to act according to the viator’s instructions and in the best interest of the viator. “Viatical settlement broker” does not include an attorney, certified public accountant, or a financial planner accredited by a nationally recognized accreditation agency who is retained to represent the viator and whose compensation is not paid directly or indirectly by the viatical settlement provider or purchaser.

  • Call Settlement Date means the fifth Business Day following the last Index Business Day in the Call Measurement Period.

  • Cash Settlement Amount means the “Cash Settlement Amount” as determined by the Calculation Agent in accordance with Paragraph 6.

  • Early Settlement Amount has the meaning specified in Section 5.9(a).

  • Daily Settlement Amount for each of the 40 consecutive Trading Days during the Observation Period, shall consist of:

  • Cash Settlement Averaging Period means (a) with respect to any Conversion Date occurring on or after the 24th Scheduled Trading Day immediately preceding the Maturity Date, the twenty (20) consecutive Trading Day period ending on, and including, the third Scheduled Trading Day immediately preceding the Maturity Date and (b) in all other cases, the twenty (20) consecutive Trading Day period beginning on, and including, the third Trading Day immediately following the relevant Conversion Date.

  • Net Settlement Amount means the Gross Settlement Amount, less the following payments in the amounts approved by the Court: Individual PAGA Payments, the LWDA PAGA Payment, Class Representative Service Payment, Class Counsel Fees Payment, Class Counsel Litigation Expenses Payment, and the Administration Expenses Payment. The remainder is to be paid to Participating Class Members as Individual Class Payments.

  • Daily Settlement Price means the settlement price for a Swap calculated each Business Day by or on behalf of BSEF. The Daily Settlement Price can be expressed in currency, spread, yield or any other appropriate measure commonly used in swap markets.

  • Final Redemption Settlement Date means the day that falls three Currency Business Days after the Final Redemption Date.

  • PJM Settlement or “PJM Settlement, Inc.” shall mean PJM Settlement, Inc. (or its successor), established by PJM as set forth in Section 3.3 of the Operating Agreement.

  • Net Share Settlement means the settlement method pursuant to which an exercising Warrantholder shall be entitled to receive from the Company, for each Warrant exercised, a number of shares of Common Stock equal to the Net Share Amount without any payment therefor.

  • Individual Settlement Payment means the amount payable from the Net
