Piggyback Securities definition

Piggyback Securities has the meaning set forth in Section 3(b) below.
Piggyback Securities has the meaning specified in Section 6.9.
Piggyback Securities means those Registrable Securities which are requested to be sold by any Stockholder or such other Persons granted piggyback registration rights as described in Section 7.2 hereof.

  • In the event that a Registration Notice shall have been delivered, the Holder may elect to include in the offering covered by the Piggyback Registration Statement all or a portion of the Registrable Securities by delivering notice to the Company (the "Supplemental Notice") on or before the tenth (10th) day after delivery of the Registration Notice specifying the number of shares of Registrable Securities (the "Piggyback Securities") proposed to be sold or otherwise transferred by the Holder.

  • The Company shall use its best efforts to cause the managing underwriter or underwriters of a proposed underwritten offering to permit the Registrable Securities requested to be included in the Registration for such offering under Section 2.2(a) or pursuant to other piggyback registration rights granted by the Company, if any ("Piggyback Securities"), to be included on the same terms and conditions as any similar securities included therein.

  • The Company shall use all commercially reasonable efforts to cause the Managing Underwriter or any other managing Underwriter of a proposed underwritten offering, as the case may be, to permit the Registrable Securities requested to be included in the registration statement for such offering under Section 4.1 or pursuant to other piggyback registration rights, if any, granted by the Company ("Piggyback Securities") to be included on the same terms and conditions as any similar securities included therein.

  • No Holder shall be entitled to include any securities in any underwritten Piggyback Registration unless such Holder shall have agreed in writing to sell such securities on the same terms and conditions as shall apply to the securities (other than Piggyback Securities) to be included in such Piggyback Registration.

  • Notwithstanding the foregoing, the Company shall not be required to include any Holder’s Piggyback Securities in such offering unless such Holder accepts the terms of the underwriting agreement between the Company and the managing Underwriter(s) and otherwise complies with the provisions of Section 8 below.
