POTENTIAL NOTEHOLDER definition

POTENTIAL NOTEHOLDER means any Person (including an Existing Noteholder that is (i) a Broker-Dealer when dealing with the Auction Agent and (ii) a potential beneficial owner when dealing with a Broker-Dealer) who may be interested in acquiring Auction Rate Notes (or, in the case of an Existing Noteholder thereof, an additional principal amount of Auction Rate Notes).
