PPS Agreement definition

PPS Agreement means, as the case may be, the agreement between COVIQSA or CONIPSA and the Mexican Federal Government, acting through the SCT, pursuant to which the SCT has agreed to make availability payments in exchange for the supply of highway capacity and operation services to, and shadow toll payments based on the number of vehicles that use the Toll-Free Roads operated by COVIQSA or CONIPSA, as the case may be.

Examples of PPS Agreement in a sentence

  • Amounts payable pursuant to this Section 1(b) shall be invoiced and payable in accordance with the terms and conditions of the International Manufacturing and PP&S Agreement.

  • Cinram will perform the Manufacturing and Distribution Services with at least the same degree of accuracy, quality, completeness, timeliness, responsiveness, and resource efficiency at which, and pursuant to the same WMI policies, rules and procedures pursuant to which, it was required to provide the same or similar services under the International Manufacturing and PP&S Agreement.

  • WMI and Cinram desire to supersede the International Manufacturing Agreement and the International PP&S Agreement with a single consolidated agreement that governs the provision of manufacturing, packaging, pick, pack, shipping and related services to WMI in certain countries outside of the United States.

  • This Agreement contains the entire understanding of the parties hereto relating to the subject matter hereof and supersedes all previous agreements or arrangements between the parties, both written and oral, hereto relating to the subject matter hereof, except that nothing in Paragraph 3 shall limit the obligations of Company under the US PP&S Agreement.

  • Notwithstanding anything to the contrary in the US/Canada Manufacturing and PP&S Agreement, Cinram shall not limit, and shall not seek reimbursement from or charge WEA or any of its Affiliates for or in connection with, storage during the Storage Period for Source Materials, Components, Inventory or Products, or any other WEA or WEA Affiliate materials.

  • Cinram shall continue to maintain all insurance that Cinram is required to maintain under the US/Canada Manufacturing and PP&S Agreement, as set forth on Schedule F to the M&P Terms and Schedule C to the PP&S Terms (the “Required Insurance”).

  • Each entity set forth in Schedule D (Approved Subcontractors) to Exhibit A (M&P Terms) to the US/Canada Manufacturing and PP&S Agreement shall be deemed to be an Approved Subcontractor for purposes of this Agreement, solely with respect to performance of the specific M&P Services identified in such Schedule D (Approved Subcontractors) for such entity.
