Price Adjustment Increase definition

Price Adjustment Increase has the meaning set forth in Section 2.04(a)(ii).
Price Adjustment Increase means an amount equal to the positive remainder, if any, obtained by subtracting the Net Working Capital as set forth in the April 30, 2002 Balance Sheet from the Net Working Capital as set forth in the Final Closing Balance Sheet. For the avoidance of doubt, the following is the formula for the foregoing calculation: Price Adjustment Increase equals Net Working Capital as set forth in the Final Closing Balance Sheet less $2,279,758.
