Priority Distributions means distributions to the Tribe by the Authority in an aggregate amount not to exceed in any fiscal year (inclusive of Priority Distributions made prior to the Issue Date under the Existing Indebtedness) the greater of (i) $70.0 million and (ii) 20% of Consolidated Cash Flow for the prior fiscal year; provided that, subject to the next succeeding proviso, not more than $25.0 million of the Priority Distributions permissible in any fiscal year shall be made in any fiscal quarter; provided, further, that the amount of Priority Distributions permitted to be made in any fiscal quarter shall be increased by the unused amount of Priority Distributions (without the accrual of interest thereon) allocated for any prior fiscal quarter. Priority Distributions include priority distribution payments made by the Authority under the Priority Distribution Agreement.

Priority Distributions means distributions to the Tribe by the Authority in an aggregate amount not to exceed $54.1 million in fiscal year 2015, and, in each fiscal year beginning with fiscal year 2016, the initial amount available for Priority Distributions in the prior fiscal year increased by the percentage by which the Consumer Price Index increased in the prior calendar year (subject to a floor of 2.00% per annum and a cap of 4.00% per annum); provided, that, subject to the next succeeding proviso, not more than $15 million of the Priority Distributions permissible in any fiscal year shall be made in any fiscal quarter; provided, further, that the amount of Priority Distributions permitted to be made in any fiscal quarter shall be increased by the unused amount of Priority Distributions (without the accrual of interest thereon) allocated for any prior fiscal quarter.

Examples of Priority Distributions in a sentence

After the holders of the Class B Common Shares have received an amount equal to the Liquidation Preference plus any accumulated and unpaid Priority Distributions (whether or not declared) on the Class B Common Shares to the date of distribution, the holders of the Priority Common Shares shall share ratably with the holders of the Class B Common Shares in the assets of the Company.
Notwithstanding the foregoing, the Priority Period shall not end until the holders of the Priority Common Shares have received any accrued, but unpaid, Priority Distributions.
The Executive also hereby waives all claims to moral or equitable rights in any Inventions.
For the avoidance of doubt, Priority Distributions shall not be Company Expenses.
The Executive Committee shall distribute to the Members promptly following receipt the amount of all Tax Priority Distributions which amounts shall be allocated and distributed among the Members in accordance with their Common Units.

More Definitions of Priority Distributions

Priority Distributions means Distributions made by Borrower to the Tribe during any calendar year in the aggregate amount which does not exceed the Priority Distribution Limit for such calendar year.

Priority Distributions means Restricted Junior Payments made to the Tribe which may consist of distributions by the Borrower to the Tribe; provided that Restricted Junior Payments made by the Borrower to the Tribe pursuant to Section 6.04(h) or (i) shall not reduce the amount of Restricted Junior Payments permitted under Section 6.04(f)(i).

Priority Distributions is defined in Section 12.1.

Priority Distributions means Distributions made by Borrower to the Tribe ---------------------- in the aggregate amount of which do not exceed $14,000,000 in any calendar year, plus for 2000 and each subsequent year, an annual adjustment in a percentage equal to the Consumer Price Index adjustment published for that year.

Priority Distributions means distributions to the Tribe by the Authority in an aggregate amount not to exceed $60.0 million in any fiscal year 2017(inclusive of “priority distributions” Priority Distributions made prior to the Issue Date under the Existing Indebtedness) the greater of (i) $60.0M $70.0 million in fiscal year 2018, and, in each and (ii) 20% of Consolidated Cash Flow for the prior fiscal year thereafter, $60.0 million; provided that, subject to the next succeeding proviso, not more than $20.0$25.0 million of the Priority Distributions permissible in any fiscal year shall be made in any fiscal quarter; provided, further, that the amount of Priority Distributions permitted to be made in any fiscal quarter shall be increased by the unused amount of Priority Distributions (without the accrual of interest thereon) allocated for any prior fiscal quarter. Priority Distributions include priority distribution payments made by the Authority under the Priority Distribution Agreement.

Priority Distributions means distributions to the Tribe by the Authority in an aggregate amount not to exceed in any fiscal year (x) $40.0 million plus (y) if the Fixed Charge Coverage Ratio for the Authority’s most recently ended four full fiscal quarters for which internal consolidated financial statements are available immediately preceding the date on which such distribution is made, if made during the fiscal year set forth below, was not less than the ratio set forth below, an additional $10.0 million: Fiscal Year Fixed Charge Coverage Ratio 2012, 2013, 2014 1.25 to 1.00 2015 and beyond 1.50 to 1.00 provided that, subject to the next succeeding proviso, not more than 25% of the Priority Distributions permissible in any fiscal year shall be made in any fiscal quarter; provided, further, that the amount of Priority Distributions permitted to be made in any fiscal quarter shall be increased by the unused amount of Priority Distributions (without the accrual of interest thereon) allocated for any prior fiscal quarter, subject, in the case of Priority Distributions deferred due to failure to comply with the Fixed Charge Coverage Ratio test set forth above, compliance with such Fixed Charge Coverage Ratio test.

Priority Distributions shall have the meaning set forth in Section 6.4(a)(iii) hereof.
