On 25 June 2008, the Company, inter-alia, announced the Proposed Merger of Spice into Idea in accordance with a scheme of arrangement under Sections 391 to 394 of the Companies Act, 1965 of India (“Proposed Merger”).
Except to the extent otherwise set forth herein or in the schedules hereto, each of the representations and warranties in the Related Agreements is true and correct in all material respects as of the Closing Date, subject to the qualifications set forth in the schedules to the applicable Related Agreements.
