The term "Proposed Merger Consideration Adjustment" shall have the meaning set forth in Section 2.11(b).
Cotton States Life has agreed and hereby does assume responsibility and liability for any and all payments to the Executive pursuant to the terms and provisions of Article 4 hereof in the event of the consummation of the Proposed Merger.
