Proscribed Person means any Person Controlled directly or indirectly by a Foreign Government Authority as well as any Person whose strategic, policy and business decision-making functions are, by virtue of a material creditor/debtor relationship between a Foreign Government Authority and such Person, considered to be effectively directed by a Foreign Governmental Authority, provided that no member of the Rio Tinto Group can be a Proscribed Person.
