Interests of Directors, Executive Officers and Certain Controlling Persons Each of TCP, Brasilcel, Telefónica Móviles, Telefónica, TMN, PT Móveis and Portugal Telecom may be deemed to be beneficial owners pursuant to the Exchange Act of the 111,583,149,861 common shares of TCO, or 86.2% of TCO’s common shares, and the 2,400,100 preferred shares of TCO, or 0.0% of TCO’s preferred shares held directly by TCP.
On October 17, 2002, Telefónica Móviles, on the one hand, and Portugal Telecom and PT Móveis, on the other, entered into the definitive stockholders’ agreement and subscription agreement that implemented the joint venture framework agreement signed in January 2001.
None of TCP, TCO, Brasilcel N.V., Portugal Telecom, SGPS, S.A., PT Móveis, SGPS, S.A., Telefónica Móviles, S.A., any of their affiliates or any of their respective boards of directors or executive officers makes any recommendation as to whether holders should tender their shares.

Other than as described in the preceding sentences, to TCP’s knowledge, none of the directors or executive officers of TCP, Brasilcel, Telefónica, Telefónica Móviles, Portugal Telecom, Telefónica Internacional, TMN or PT Móveis, or any associate of these companies or their directors and executive officers beneficially owns any common shares or preferred shares of TCO.
