The Project and its operation has been approved pursuant to, and remains subject to, the PUD Ordinance and all other ordinances, statutes, and regulations of governing authorities, including the City of Madison and, except as specifically provided herein with respect to the Public Access Components, this Agreement is not for the purpose of amending or otherwise governing the design, construction or operation of the Project.

Each Party shall promptly notify the other Party if any legal proceedings are commenced or threatened against either Party or any purchaser of a Licensed Product or Licensed Process sold by Omnimmune on the grounds that the manufacture, use, sale or possession thereof is an infringement of a Third Party’s patent or other intellectual property rights.
East Gate acknowledges that it shall comply with all the technical review, including review of topographical information, detention and storm water management plans (whether temporary or permanent, at East Gate’s election), utility plans, public improvements, dedication requirements of the Village Subdivision Ordinance, the PUD Ordinance, and this Agreement.

The Incoming Transmission Easement Area and Pond Easement Area may hereinafter collectively be referred to as the “Drainage Easement Areas.” It is understood that the planned development on the Retained Parcels may include modifications to the concept plan attached to the PUD Ordinance (as hereinafter defined) to develop portions of the Easement Parcel and the location of portions of the Pond Easement Area within the Easement Parcel.
