Purchase Price Allocation Dispute Notice has the meaning set forth in Section 6.9(f).

  • If, within thirty (30) days after delivery by Buyer of a Purchase Price Allocation Dispute Notice, Buyer and Seller are unable to resolve any disputes relating to the allocation of the Purchase Price, Buyer and Seller may each use a different purchase price allocation.

  • If Buyer delivers a Purchase Price Allocation Dispute Notice within the Purchase Price Allocation Dispute Period, Seller and Buyer shall use reasonable efforts to resolve in good faith all disputes set forth in such Purchase Price Allocation Dispute Notice.

  • If Seller Stockholder Representative delivers its agreement as to the Proposed Purchase Price Allocation or otherwise does not properly deliver a written Purchase Price Allocation Dispute Notice within such thirty-day period, then the Proposed Purchase Price Allocation shall be the final allocation.
