Purchased Option definition

Purchased Option means a Stock Option that is sold to an Eligible Person at a price determined by the Committee. Purchased Options are subject, in part, to the terms, conditions and restrictions described in Section 6.

  • The preceding sentence will not apply to pledges of Purchased Option Shares (but will apply to any transfers occurring upon the exercise of rights of a pledgee).

  • If the Optionee’s Service is terminated as a result of a Removal for Cause, then this Option, whether or not vested, shall terminate in its entirety on the Termination Date and be of no further force or effect, provided that this Agreement shall continue to apply to all Option Shares which, on the Termination Date, are Purchased Option Shares.

Related to Purchased Option

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Number of Option Shares means shares of Stock, as adjusted from time to time pursuant to Section 9.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Purchased Stock means a right to purchase Common Stock granted pursuant to Article IV of the Plan.

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Parent Stock Option means any option to purchase Parent Common Stock.

  • Per Share Purchase Price equals $1.00, subject to adjustment for reverse and forward stock splits, stock dividends, stock combinations and other similar transactions of the Common Stock that occur after the date of this Agreement.

  • Stock Purchase Rights means any warrants, options or other rights to subscribe for, purchase or otherwise acquire any shares of Common Stock or any Convertible Securities.

  • Stock Purchase Price has the meaning set forth in Section 2 of the Subscription Agreement.
