Purchaser Disclosure Documents definition

Purchaser Disclosure Documents has the meaning set forth in Section 3.7.

Purchaser Disclosure Documents means all forms, reports, schedules, statements, certifications and other documents, including without limitation all press releases, forms, reports, schedules, financial statements and notes and schedules to such financial statements, management’s discussion and analysis of financial condition and operations, certifications, annual information forms, management information circulars, material change reports and other documents publicly filed by the Purchaser with the Securities Authorities pursuant to applicable Canadian Securities Laws since April 20, 2017;

Purchaser Disclosure Documents means, collectively, all documents published or filed by Purchaser with the securities regulatory authorities in Canada and the SEC, in each case since January 1, 2009;

• The information concerning Purchaser, set forth in this Agreement, and in Purchaser Disclosure Documents, is, to the best of Purchaser's knowledge and belief, complete and accurate in all material respects and does not contain any untrue statement of a material fact or omit to state a material fact required to make the statements made, in light of the circumstances under which they were made, not misleading.

• There are no contracts, commitments, agreements, understandings, arrangements or restrictions which require any material subsidiaries of Purchaser to issue, sell or deliver any shares in its share capital or other ownership interests, or any securities or obligations convertible into, or exchangeable or exercisable for, any shares of its share capital or other ownership interests except as disclosed in the Purchaser Disclosure Documents.

• There are no outstanding options, rights, entitlements, understandings or commitments (contingent or otherwise) providing to any third party the right to acquire any shares or other ownership interests in any subsidiaries of Purchaser except as disclosed in the Purchaser Disclosure Documents.

• The material subsidiaries of Purchaser are disclosed in the Purchaser Disclosure Documents.

• Other than as disclosed in the Purchaser Disclosure Documents, there are no claims, actions, suits, grievances, complaints or proceedings pending or, to the knowledge of Purchaser, threatened affecting Purchaser or any of the Purchaser Subsidiaries or affecting any of their respective property or assets at law or in equity before or by any Governmental Entity, including matters arising under Environmental Laws which, individually or in the aggregate will have a Material Adverse Effect on Purchaser.

Purchaser Disclosure Documents means, as the context requires:

Purchaser Disclosure Documents means, collectively, all of the documents which have been filed by or on behalf of the Purchaser in the 24 months prior to the date hereof with the relevant securities regulators pursuant to the requirements of securities Laws and filed on SEDAR at www.sedar.com.

Purchaser Disclosure Documents means all information filed by or on behalf of the Purchaser and made publicly available on SEDAR at xxx.xxxxx.xxx since January 1, 2020.

Purchaser Disclosure Documents means, collectively, all of the documents which have been filed by or on behalf of the Purchaser in the 24 months prior to the date hereof with the relevant securities regulators pursuant to the requirements of securities Laws and filed on SEDAR at xxx.xxxxx.xxx.

Purchaser Disclosure Documents means, collectively, all documents published or filed by the Purchaser with the SEC since June 20, 2014;

Purchaser Disclosure Documents means all information filed by or on behalf of EMX and made publicly available on SEDAR at xxx.xxxxx.xxx since January 1, 2020.

Purchaser Disclosure Documents means the documents attached to the Purchaser Disclosure Letter and those documents copies of which are contained on the CD-Rom/DVD attached to the Purchaser Disclosure Letter and an index of which is at Appendix 2 to that letter, and where a document is said to be “attached to the Purchaser Disclosure Letter” or “contained in the Purchaser Disclosure Letter” (or similar phrases) a document shall be deemed to be so attached or contained if it is a Purchaser Disclosure Document;
