Such Purchaser Tax Returns shall be prepared on a basis consistent with past practice except to the extent otherwise required by applicable Law.
Reasonably in advance of the due date for the filing of any such Purchaser Tax Returns, Purchaser shall deliver a draft of such Tax Return, together with all supporting documentation and workpapers, to Seller for its review and reasonable comment.
Except as required by Law, Purchaser shall not amend or revoke any such Purchaser Tax Returns (or any notification or election relating thereto) without the prior written consent of Seller (which consent shall not be unreasonably withheld, conditioned or delayed).
The Purchaser has delivered or made available to the Company copies of, and Schedule 6.5 contains a complete and accurate list of, all Purchaser Tax Returns filed by the Purchaser since December 31, 1999.
Hereinafter, Entravision and the Founders shall be jointly referred to as the “Parties”.
