Purchasers Disclosure Letter definition

Purchasers Disclosure Letter means the disclosure letter, dated as of the date hereof, from the Purchasers to the Sellers and accompanying this Agreement.

Purchasers Disclosure Letter means Purchaser's Disclosure Letter dated as of the Effective Date which is being delivered to Seller concurrently with the execution of this Agreement.

Purchasers Disclosure Letter shall have the meaning ascribed to such term in Article 5.

• Parent and Purchaser have access to sufficient funds to consummate the Offer and the Merger on the terms contemplated by this Agreement and to pay related fees and expenses, the evidence of which sufficiency has been provided in Section 6.6 of the Purchaser's Disclosure Letter.
