Put Right Price definition

Put Right Price has the meaning specified in Section 2.1 of the Third Supplemental Indenture.

Put Right Price for a Class A Common Unit, as of any date of determination, shall equal the sum of (i) FFO Per Unit MULTIPLIED BY the Put Multiple, (ii) if greater than zero, the incremental amount which would have been distributed pursuant to SECTION 5.1(i) in respect of such Class A Common Unit assuming the Partnership assets were sold for their net asset value (as determined on a reasonable basis by the General Partner reasonably consistent with the method used for purposes of determining the General Partner's or any Affiliate's annual financial reporting) and the proceeds were distributed under SECTION 5.1 and (iii) both the First Tier Distribution Shortfall and the Second Tier Distribution Shortfall for such Class A Common Unit through the date of determination.
Put Right Price means an amount equal to the aggregate Distributions in cash that would be made to the Non-CABO Investor Units (including for this purpose (i) any Units held by a Blocker Corporation that are not beneficially owned by the CABO Investor and (ii) applicable payments under the LTIP) in accordance with this Agreement if the Company were deemed to have received the Put Right Total Equity Value in cash and then distributed all of the same to the Unitholders and LTIP participants in accordance with Section 4.1(a) of this Agreement (after giving effect to Section 4.1(e) of this Agreement) and the LTIP.
