Tenant hereby acknowledges and agrees that an Affiliate of Tenant, Radio City Productions, Inc.
MUSIC HALL The building, fixtures, equipment and other improvements and appurtenances now located or hereafter erected, located or placed upon the land on which Radio City Music Hall is situated, substantially as shown on Exhibit A-1, but excluding the building, fixtures, equipment and other improvements and appurtenances known as 1270 Avenue of the Americas.
Without limiting the foregoing, Landlord shall schedule its routine maintenance during periods of the year other than when the Radio City Christmas Spectacular is being performed.
If Landlord shall fail to purchase seats (with respect to events described in clause (i)) or notify Tenant of Landlord’s desire to either purchase or claim its seats (with respect to events described in clause (ii)) on or before the date which is 14 days prior to the performance for which such seats are reserved, Tenant may release such seats for such performance; provided, however, that with respect to the Radio City Christmas Spectacular, such 14-day period shall be increased to 21 days.
In any of Tenant’s print advertising with respect to the Music Hall and events scheduled to take place in the Music Hall which shall exceed one half of one page, Tenant shall prominently utilize the Radio City Music Hall Marks and identify the location “at Rockefeller Center,” and/or “at Radio City Music Hall” subject to and in accordance with the terms of the IP Agreement.
To the knowledge of RCPI, each of the lease, dated July 1, 1982, between RCP and Radio City Music Hall Productions, Inc., and the lease, dated July 15, 1985, between RCP and Rockefeller Center Management Corporation ("RCMC") relating to the parking garage located at the Property, if and as each such lease has been amended and supplemented, is subject and subordinate to the Mortgage, and none of the tenants under such leases has any rights of nondisturbance under such leases.
Within 15 days after receipt of Tenant’s list setting forth such performance dates and times, Landlord may, at its option (A) with respect to the Radio City Christmas Spectacular, designate up to ***** performances for which Landlord elects to reserve Approved Seats and (B) with respect to a Multiple Performance Event described in clause (ii) above, Landlord shall designate ***** performances for which Landlord shall be entitled to reserve Approved Seats.
