RANW MLS Policies. RANW MLS’s Rules and Regulations, as amended from time to time, and any operating policies and procedures promulgated by RANW MLS.

  • Subject to RANW MLS Policies, this Agreement contains the full and complete understanding of the parties regarding the subject matter of this Agreement and supersedes all prior representations and understandings, whether oral or written, relating to the same.

  • Firm and Salesperson shall comply with the RANW MLS Policies at all times.

  • In the event RANW MLS claims that Firm, Salesperson, or Consultant has violated the RANW MLS Policies, RANW MLS may, at its option, resolve such a claim according to the disciplinary procedures set out in the RANW MLS Policies, provided RANW MLS does not also base a claim that Firm, Salesperson, or Consultant has breached this Agreement on the same facts.

  • In the event of any perceived conflict between the RANW MLS Policies and this Agreement, the RANW MLS Policies shall govern.

  • Consultant shall immediately correct any breach of this Agreement or violation of the RANW MLS Policies within its control, whether committed by Firm, Salesperson, or Consultant, upon notice from RANW MLS.

  • Use and display of portions of the RANW MLS Data under the Virtual Office Website (VOW) provisions of the RANW MLS Policies.

  • The foregoing notwithstanding, RANW MLS may take any steps necessary in its sole discretion, including discontinuing providing Licensed Data to Syndicator, or deleting the Licensed Data or portions thereof, to avoid or remedy any violation of law, breach of the RANW MLS Policies, or infringement of any third party intellectual property rights.

  • Participant represents and warrants that (a) the Licensed Data does not infringe the intellectual property rights (including copyright rights), proprietary rights, or contract rights of any third party; (b) the Licensed Data does not violate any law; (c) Participant has the written consent of any party necessary to provide the Licensed Data to Syndicator; and (d) the Licensed Data complies with RANW MLS Policies.

  • It will be incumbent upon the Consultant to understand how to access, pull, and update data, as well as how to program search functionality and display options that comply with RANW MLS Policies.

  • Audio Device: Any audio delivery of IDX data authorized by RANW MLS Policies and listed in Exhibit A that are not web sites or Mobile Applications.

  • SAP Policies means the operational guidelines and policies applied by SAP to provide and support the Cloud Service as incorporated in an Order Form.

  • D&O Policies has the meaning set forth in Section 8.06.

  • City Policies means any or all (as the context requires) of those procedures, standards and/or standard specifications, requirements, policies and the like listed in Schedule H or notified to the Supplier from time to time, as the same may be updated, modified, expanded, revised, supplemented and/or replaced from time to time by the City (as notified to the Supplier);

  • Consensus Policies are those policies established (1) pursuant to the procedure set forth in ICANN’s Bylaws and due process, and (2) covering those topics listed in Section 1.2 of this Specification. The Consensus Policy development process and procedure set forth in ICANN’s Bylaws may be revised from time to time in accordance with the process set forth therein.

  • Servicer Policies and Practices means, with respect to the Servicer’s duties under Exhibit A to the Servicing Agreement, the policies and practices of the Servicer applicable to such duties that the Servicer follows with respect to comparable assets that it services for itself and, if applicable, others.

  • Investment Policies has the meaning assigned to such term in Section 3.11(c).

  • Claims Made Policies has the meaning set forth in Section 5.01(b).

  • Safeguard Policy Statement or “SPS” means ADB's Safeguard Policy Statement (2009);

  • Company Insurance Policies has the meaning set forth in Section 4.15.

  • R&W Policy means a representation and warranty insurance policy for the benefit of Buyer obtained in connection with this Agreement on the terms described on Schedule 1.01 of the Buyer Disclosure Schedule.

  • Policies shall have the meaning specified in Section 6.1(b) hereof.

  • D&O Liability Insurance Policies means all insurance policies (including any “tail policy”) of any of the Debtors for liability of any current or former directors, managers, officers, and members.

  • Policies and Procedures means the written policies and procedures of the Client in any way related to the Services, including any such policies and procedures contained in the Organic Documents and the Offering Documents.

  • Insurance Policies has the meaning set forth in Section 3.16.

  • Risk Management Policy means the Risk Management Policy of the Borrower in effect on the date of this Agreement as amended from time to time.

  • Tariff Policy means a Tariff Policy adopted by the Council in terms of Section 74 of the Local Government: Municipal Systems Act 32 of 2000.

  • New Jersey Stormwater Best Management Practices (BMP) Manual or “BMP Manual” means the manual maintained by the Department providing, in part, design specifications, removal rates, calculation methods, and soil testing procedures approved by the Department as being capable of contributing to the achievement of the stormwater management standards specified in this chapter. The BMP Manual is periodically amended by the Department as necessary to provide design specifications on additional best management practices and new information on already included practices reflecting the best available current information regarding the particular practice and the Department’s determination as to the ability of that best management practice to contribute to compliance with the standards contained in this chapter. Alternative stormwater management measures, removal rates, or calculation methods may be utilized, subject to any limitations specified in this chapter, provided the design engineer demonstrates to the municipality, in accordance with Section IV.F. of this ordinance and N.J.A.C. 7:8-5.2(g), that the proposed measure and its design will contribute to achievement of the design and performance standards established by this chapter.

  • Company Privacy Policies means all current and, to the extent applicable, prior public or internal policies, procedures and representations of the Company or its Subsidiaries to the extent relating to data security or the Processing of Personally Identifiable Information, including the Data Protection Program.

  • Mandatory Policies means the following of our business policies and codes:

  • Environmental Guidelines means the environmental guidelines and occupational health and safety standards of the World Bank Group as in effect on [Bid Date].

  • Business Contracts has the meaning ascribed to it in Section 1.01(a)(v).

  • Business Travel Policy means our business travel policy. A copy of our current Business Travel Policy is attached as Schedule 1 to Exhibit B.
