Designated Bidder means (a) an Eligible Assignee or (b) a special purpose corporation that is engaged in making, purchasing or otherwise investing in commercial loans in the ordinary course of its business and that issues (or the parent of which issues) commercial paper rated at least "Prime-1" (or the then equivalent grade) by Xxxxx'x or "A-1" (or the then equivalent grade) by S&P that, in the case of either clause (a) or (b), (i) is organized under the laws of the United States or any State thereof, (ii) shall have become a party hereto pursuant to Section 8.07(d), (e) and (f) and (iii) is not otherwise a Lender.
Servicing-Released Bid As defined in Section 7.01(c).
Selected Bidder or Successful Bidder means the Bidder selected pursuant to this RfS to set up the Project and supply electrical output as per the terms of PPA.
Successful Bidder As defined in Section 7.01(c).
Superior Proposal Notice has the meaning specified in Section 5.4(1)(c).
Acceptable Discount has the meaning set forth in Section 2.05(a)(v)(D)(2).
Servicing-Retained Bid As defined in Section 7.01(c).
Successful Bidder(s) means the bidder(s) to whom work in this tender is awarded.
Proposal Letter means the letter, executed by or on behalf of Proposer, delivered with its Proposal and conforming to Form A to the ITP.
Lock-Up Agreement means the Lock-Up Agreement, dated as of the date hereof, by and among the Company and the directors and officers of the Company, in the form of Exhibit B attached hereto.
Competitive Bid Accept/Reject Letter means a notification made by the Borrower pursuant to Section 2.03(d) in the form of Exhibit A-4.
Solicitation Procedures Order means the order of the Bankruptcy Court or other court of competent jurisdiction approving the Debtors' proposed procedures to govern their solicitation of votes on this Plan.
Preferred Bidder means a bidder that is entitled to receive a reciprocal preference under the requirements of this chapter.
Highest Bidder means the Bidder, who quotes the highest License Fees
Lowest Evaluated Bid means a bid for goods, works and services having the lowest evaluated cost among the substantially responsive bids
Non-Competition Agreement has the meaning set forth in Section 2.1 of this Agreement.
Interested Bidder means any person or persons who have submitted the Request Letter for Participation along with signed Bid Form, notarized affidavit, signed Declaration, requisite Earnest Money and other necessary documents to complete the eligibility check formalities to the satisfaction of the Liquidator.
Qualified Bidder As defined in Section 7.01(c).
Solicitation Amendment means a written document that is authorized by the Procurement Officer and issued for the purpose of making changes to the Solicitation.
Successful Bidder” or “Successful E-Auction Process Participant means, the Qualified Bidder whose bid is approved and who is declared successful by the Liquidator at the end of the determined auction phase.C. INTRODUCTION
Offered Amount has the meaning set forth in Section 2.05(a)(v)(D)(1).
Non-Solicitation Period means a period of 12 months after the termination of Executive’s employment with the Company.
Reassignment Amount means, for a Payment Date, the sum of (a) the Note Balance of the Series 20 - Notes on that Payment Date, plus (b) the Accrued Note Interest for each Class for that Payment Date, plus (c) any other amounts due and payable by the Issuer on that Payment Date for Series 20 - , in each case, after giving effect to any payments to be made on that Payment Date.
Bid Solicitation Agent means the Company or the Person appointed by the Company to solicit bids for the Trading Price of the Notes in accordance with Section 14.01(b)(i). The Company shall initially act as the Bid Solicitation Agent.
Selected Bidder or “Successful Bidder” shall mean the Bidder selected pursuant to this RfS to set up the Project and supply electrical output as per the terms of standard PPA.
Non-Competition Period means the period the Executive is employed by the Company plus one (1) year from the Termination Date if the Executive's employment is terminated (i) by the Company for any reason, (ii) by the Executive for any reason, or (iii) by reason of either the Company's or the Executive's decision not to extend the term of this Agreement as contemplated by Section 1 hereof.
