Deed of Charge means the English law deed of charge that may be entered into between the Guarantor and the Representative of the Covered Bondholders (acting on behalf of the Covered Bondholders and the Other Creditors);
Account Charge means, in relation to each of the Charged Accounts, the first priority fixed charge or pledge over all such accounts given or to be given by the relevant account holder thereof in favor of and in form and substance satisfactory to the Security Trustee.
Facility Charge means one percent (1%) of the Maximum Term Loan Amount.
State of Charge means the operating parameter that represents the quantity of physical energy stored (measured in units of megawatt-hours) in an Energy Storage Resource Model Participant in proportion to its maximum State of Charge capability. State of Charge is quantified as defined in the PJM Manuals.
State of Charge (SOC) means the available electrical charge in a REESS expressed as a percentage of its rated capacity.
Minimum State of Charge means the minimum State of Charge that should be maintained in units of megawatt-hours. NERC:
Amount Generally Billed or “AGB” means, with respect to emergency and other medically necessary care, the amount generally billed to individuals who have insurance covering such care.
Agency Account(s means any deposit account opened on the books of a Subcustodian or other banking institution in accordance with Section 7.1 hereof.
Maximum State of Charge means the maximum State of Charge that should not be exceeded, measured in units of megawatt-hours. Merchant A.C. Transmission Facilities: “Merchant A.C. Transmission Facility” shall mean Merchant Transmission Facilities that are alternating current (A.C.) transmission facilities, other than those that are Controllable A.C. Merchant Transmission Facilities. Merchant D.C. Transmission Facilities: “Merchant D.C. Transmission Facilities” shall mean direct current (D.C.) transmission facilities that are interconnected with the Transmission System pursuant to Tariff, Part IV and Tariff, Part
Cost-plus-a-percentage-of-cost contract means a contract under which the contractor is paid a percentage of the total actual expenses or costs in addition to the contractor's actual expenses or costs.
Annual Debt Service Charge as of any date means the amount which is expensed in any 12-month period for interest on Debt of the Company and its Subsidiaries.
Operating Account means a demand deposit account maintained at the Funding Bank in Borrower's name and designated for funding that portion of each Eligible Loan not funded by a Warehousing Advance made against that Eligible Loan and for returning any excess payment from an Investor for a Pledged Loan or Pledged Security.
Failed Bank Charge-Offs/Write-Downs means, with respect to any Shared- Loss Asset, an amount equal to the aggregate amount of reversals or charge-offs of Accrued Interest and charge-offs and write-downs of principal effected by the Failed Bank with respect to that Shared-Loss Asset as reflected on the Accounting Records of the Failed Bank.
Electric vehicle charging station or “charging station” means any level of electric vehicle supply equipment station that is designed and built in compliance with Article 625 of the California Electrical Code, as it reads on the effective date of this Chapter, and delivers electricity from a source outside an electric vehicle into a plug-in electric vehicle.
Security Deposit Account has the meaning given in Section 5.1.
Agency Account means any deposit account opened on the books of a Subcustodian or other banking institution in accordance with Section 7.1.
Security Deposits shall have the meaning set forth in Section 5.1.17(e) hereof.
Notice of Charges means a notice sent by the Compliance Department pursuant to Rule 607.
Schedule of Charges means the schedule as seen in clause 2.5.
Service Charge means the amount charged for making a service available on line and is in addition to the actual fee for a service itself. For example, one who renews a license on line will pay the license renewal fee and a service charge.
Special Primary Insurance Premium With respect to any Special Primary Insurance Policy, the monthly premium payable thereunder. Statutory Trust Statute: Chapter 38 of Title 12 of the Delaware Code, 12 Del.C. §3801 et seq., as the same may be amended from time to time.
Carrying Costs With respect to any Payment Date, the sum of amounts payable under Section 2.7(a)(iv)(A)-(C).
Operating Accounts shall have the meaning ascribed to it in Section 4.03.A.
Mortgage guaranty insurance means surety insurance under which a mortgagee or other creditor is indemnified against losses caused by the default of a debtor.
Prepayment Charge Schedule As of any date, the list of Prepayment Charges included in the Trust Fund on such date, attached hereto as Schedule 2 (including the prepayment charge summary attached thereto). The Prepayment Charge Schedule shall set forth the following information with respect to each Prepayment Charge:
Reserve Account Property shall have the meaning specified in Section 4.7(a) of the Sale and Servicing Agreement.
