Real Estate Debt means, on the basis of the consolidated financial statements of the Issuer, the sum of:
Real Estate Debt means (a) any debt or obligations of the Company or any of its Subsidiaries in whole or in part secured by interests in real property, including the NML Loan and extensions, renewals and refinancings of such Debt and (b) any Guarantee Obligations of the Company with respect to the Debt of any Centene Plaza Subsidiary and extensions, renewals and refinancings of such Debt; provided that such Debt (with respect to which the Company has Guarantee Obligations) is used solely to finance or refinance a Centene Plaza Project.
Real Estate Debt means any Debt incurred to acquire or improve real estate used or to be used by the Company or its Subsidiaries in their businesses and secured by Liens on such real estate, improvements and fixtures (which Liens attach solely to such real estate and improvements (and any fixtures thereon) and to no other property).

Real Estate Debt means any and all indebtedness and obligations for borrowed money (including, without limitation, principal, premium (if any), interest, fees, charges, expenses, costs, professional fees and expenses, and reimbursement obligations), in an aggregate principal amount not at any time exceeding Fifteen Million Dollars ($15,000,000.00), at any time owing by Borrower to Real Estate Creditor under the Real Estate Loan Documents, including but not limited to such amounts as may accrue or be incurred before or after default or workout or the commencement of any liquidation, dissolution, bankruptcy, receivership, or reorganization case by or against Borrower.
Real Estate Debt means, on a given date, for the Issuer or any Subsidiary, the amount of Net Debt the sole purpose of which is to finance or refinance the acquisition, development and/or the implementation of real estate transactions, including without limitation bridge loans (crédit-relais), mid-term or long-term loans or credit facilities and real estate financial leases (credits-bails immobiliers).
