Real Estate Held for Sale shall constitute "Direct Real Estate Investments", and existing investments classified on the Company's most recent balance sheet as "Notes Receivable", "Mezzanine Loans" and "Investments" shall not constitute "Direct Real Estate Investments"; provided however, that if any of the foregoing existing investments classified on the Company's most recent balance sheet as "Notes Receivable", "Mezzanine Loans" and "Investments" remain on the Company's December 31, 2001 balance sheet, such investments shall thereafter constitute "Direct Real Estate Investments" if such investments otherwise satisfy the criteria set forth in clauses (a) or (b) above, in which case such investments shall be included in an amount (but only in an amount) equal to the amount of the investment less closing or management fees earned on such investment during the first twenty-four (24) month period; provided further, that any investment of the Company which does not initially constitute "Direct Real Estate Investments" but thereafter satisfies the criteria set forth above shall thereafter constitute "Direct Real Estate Investments", in which case such investments shall be included in an amount (but only in an amount) equal to the amount of the investment less closing or management fees earned on such investment during the first twenty-four (24) month period.

  • Underinsured motor vehicle means a land motor vehicle or trailer of any type to which a bodily injury liability bond or policy applies at the time of the accident but its limit for bodily injury liability is either:
