Redemption Premium Event definition

Redemption Premium Event means, where the Redemption Premium Option is selected as Applicable in the relevant Final Terms, the occurrence of one or more of a Scope 1 and 2 GHG Emissions and Scope 3 GHG Emissions from Fuel and Energy-related Activities Event, a Scope 3.1 and 3.2 GHG Emissions from Purchased Goods and Services and Capital Goods Event, a Renewable Electricity Sourcing Event and/or Gender Diversity Performance Event, as specified in the relevant Final Terms;

Examples of Redemption Premium Event in a sentence

  • For the avoidance of doubt, in the event the relevant Final Terms specify more than one Sustainability-Linked Condition, then the applicable Redemption Premium Amount shall be payable in respect of each Redemption Premium Event that has occurred during the term of such Sustainability-Linked Notes.

  • The Fiscal Agent shall not be obliged to monitor or inquire as to whether a Redemption Premium Event has occurred or have any liability in respect thereof.

Related to Redemption Premium Event

  • Redemption Premium means (i) in the case of the Events of Default described in Section 4(a)(i) - (vi) and (ix) - (xii), 125% or (ii) in the case of the Events of Default described in Section 4(a)(vii) - (viii), 100%.

  • Optional Redemption Premium means, with respect to any Series, the premium (expressed as a percentage of the Liquidation Preference of the shares of such Series) payable by the Fund upon the redemption of MuniFund Term Preferred Shares of such Series at the option of the Fund, as set forth in the Appendix for such Series.

  • Change of Control Redemption Premium means 125%.

  • Redemption Amount means, as appropriate, the Final Redemption Amount, the Early Redemption Amount (Tax), the Optional Redemption Amount (Call), the Optional Redemption Amount (Put), the Early Termination Amount or such other amount in the nature of a redemption amount as may be specified in, or determined in accordance with the provisions of, the relevant Final Terms;

  • Redemption Period shall have the meaning set forth in Section 23(a) hereof.

  • Optional Redemption Price means $25,000 per share plus an amount equal to accumulated but unpaid dividends (whether or not earned or declared) to the date fixed for redemption and excluding Additional Dividends plus any applicable redemption premium attributable to the designation of a Premium Call Period.

  • Optional Redemption Date shall have the meaning set forth in Section 6(a).

  • Optional Redemption Amount means the sum of (a) 120% of the then outstanding principal amount of the Debenture, (b) accrued but unpaid interest on the Debenture and (c) all liquidated damages and other amounts due in respect of the Debenture.

  • Special Redemption Price has the meaning set forth in paragraph 4(a) of Annex I.

  • Make-Whole Redemption Price means, in respect of each Bond, (a) the principal amount of such Bond or, if this is higher, (b) the sum of the then present values of the remaining scheduled payments of principal and interest discounted to the Optional Redemption Date on an annual basis (based on the actual number of days elapsed divided by 365 or (in the case of a leap year) by 366) at the Reference Dealer Rate (as defined below) plus 0.15 per cent., in each case as determined by the Determination Agent;

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Make-Whole Redemption Margin means the margin specified as such in the relevant Final Terms.

  • Make-Whole Redemption Amount means the sum of:

  • Make-whole Redemption Rate means (i) the average of the four quotations given by the Reference Dealers of the mid-market annual yield to maturity of the Reference Security on the fourth Business Day preceding the Make-whole Redemption Date at 11:00 a.m. (Central European Time ("CET")) ("Reference Dealer Quotation") or (ii) the Reference Screen Rate, as specified in the relevant Final Terms.

  • Special Redemption Date has the meaning set forth in Section 10.2.

  • Optional Redemption Amount (Call) means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Final Redemption Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;
