Registered Company IP definition

Registered Company IP means all Company-Owned IP that is the subject of registration or an application for registration, including domain names.
Registered Company IP means all Intellectual Property: (a) included in the Company Owned IP or (b) that is exclusively licensed to the Company, in each case (a) and (b), that is the subject of an application, certificate, filing, registration, or other document issued, filed with or recorded by any Governmental Authority or Internet domain name registrar.
Registered Company IP has the meaning set forth in Section 3.14(a)(i).

Examples of Registered Company IP in a sentence

  • All Registered Company IP is valid and enforceable, free from Encumbrances (except Permitted Encumbrances), and a member of the Group is the sole and exclusive owner of all right, title and interest in and to the Registered Company IP (or in the case of Intellectual Property subject to the Intellectual Property Assignments, will be the sole and exclusive owner of all right, title and interest therein prior to the Completion Date).

  • The Acquired Companies solely and exclusively own, or will own as of the Closing, the entire right, title and interest in and to all Registered Company IP Rights, free and clear of all Liens (other than Permitted Liens).
