Registrable Certificates definition

Registrable Certificates means, together, the Class A Registrable Certificates, the Class B Registrable Certificates, the Class C Registrable Certificates and the Class D Registrable Certificates.
Registrable Certificates means the Initial Certificates; provided, however, that the Initial Certificates shall cease to be Registrable Certificates when (i) a Shelf Registration Statement with respect to such Initial Certificates shall have been declared effective under the 1933 Act and such Initial Certificates shall have been disposed of pursuant to such Shelf Registration Statement, (ii) such Initial Certificates shall have been sold to the public pursuant to Rule 144 (or any similar provision then in force, but not Rule 144A) under the 1933 Act or may then be sold to the public pursuant to paragraph (k) of said Rule 144 (or any similar provision then in force) by Holders other than "affiliates" or former "affiliates" (as such term is defined in paragraph (a) of Rule 144) of the Company, (iii) such Initial Certificates shall have ceased to be outstanding or (iv) such Initial Certificates have been exchanged for Exchange Certificates upon consummation of the Exchange Offer.
Registrable Certificates means the Certificates; provided, however, that the Certificates shall cease to be Registrable Certificates (i) if such Certificates are afforded the opportunity to be exchanged for Exchange Certificates in an Exchange Offer that complies with Section 2(a) hereof, (ii) when a Registration Statement with respect to such Certificates shall have been declared effective under the 1933 Act and either (A) such Certificates shall have been disposed of pursuant to such Registration Statement or (B) a period of one year has elapsed following such effectiveness, (iii) when such Certificates have been sold pursuant to Rule 144 (but not Rule 144A) under the 1933 Act or (iv) when such Certificates shall have otherwise ceased to be outstanding.

Registrable Certificates means the Initial Certificates and the Additional Certificates; provided, however, that an Initial Certificate or Additional Certificate shall cease to be a Registrable Certificate (i) when a Registration Statement with respect to such Initial Certificate or Additional Certificate shall have been declared effective under the 1933 Act and such Initial Certificate or Additional Certificate shall have been disposed of pursuant to such Registration Statement, (ii) when such Initial Certificate or Additional Certificate has been sold to the public pursuant to Rule 144 (or any similar provision then in force, but not Rule 144A) under the 1933 Act or may then be sold to the public pursuant to paragraph (k) of Rule 144 (or any similar provision then in force) by Holders other than "affiliates" or former "affiliates" (as such term is defined in paragraph (a) of Rule 144) of Amtran or the Company; (iii) when such Initial Certificate or Additional Certificate shall have ceased to be outstanding.
Registrable Certificates means at any time any Certificates, PROVIDED, HOWEVER, that Registrable Certificates shall not include any Certificates (x) the sale of which has been registered pursuant to the Securities Act and which shares have been sold pursuant to such registration or (y) which have been sold pursuant to Rule 144 (or any other similar provision then in force) promulgated under the Securities Act ("RULE 144").
Registrable Certificates means each Certificate upon original ------------------------ issuance of the Certificate and at all times subsequent thereto, each Exchange Certificate as to which Section 2(c)(iv) hereof is applicable upon original issuance and at all times subsequent thereto and each Private Exchange Certificate upon original issuance thereof and at all times subsequent thereto, until in the case of any such Certificate, Exchange Certificate or Private Exchange Certificate, as the case may be, the earliest to occur of (i) a Registration Statement (other than, with respect to any Exchange Certificate as to which Section 2(c)(iv) hereof is applicable, the Exchange Offer Registration Statement) covering such Certificate, Exchange Certificate or such Private Exchange Certificate, as the case may be, having been declared effective by the SEC and such Certificate, Exchange Certificate or such Private Exchange Certificate, as the case may be, having been disposed of in accordance with such effective Registration Statement, (ii) such Certificate, Exchange Certificate or Private Exchange Certificate, as the case may be, being eligible for sale to the public pursuant to Rule 144, (iii) such Certificate having been exchanged for an Exchange Certificate pursuant to an Exchange Offer which may be resold without restriction under state and federal securities laws, or (iv) such Certificate, Exchange Certificate or Private Exchange Certificate, as the case may be, ceasing to be outstanding for purposes of the Trust Agreement.
